My Edwin
MY EDWIN CREATOR AGREEMENT
Version: 2026-10-12-v3.1. Effective date: 12 October 2026. Last updated: 12 October 2026.
This Creator Agreement (the "Agreement") is between:
- Holding AMR LLC, a limited liability company organised under the laws of the State of Wyoming, USA, Wyoming Filing ID information being updated, registered office at 30 N Gould St, STE R, Sheridan, WY 82801, USA, trading as "My Edwin" (the "Company", "we", "us"). Contact: contact@myedwin.com; and
- the person or entity that accepts this Agreement online (the "Creator", "you"). Your identity and details are those you gave at registration (the "Registration Data").
Edwin is a digital assistant, supported by artificial intelligence, for independent professionals, small businesses and companies. The Programme described below lets you recommend it to your audience and earn a commission.
This Agreement is published in the language of each country served. The version written in the language of your country prevails over any other version, which is provided for information only. For the United States, the United Kingdom and Canada outside Quebec, the English version prevails; in Quebec, the French version prevails and is given first (clause 28.5).
Key points (summary for convenience; the numbered clauses prevail). - You accept by ticking an unticked box, and you then tick a second, separate box to approve expressly certain clauses (clause 1 bis). We keep a record of both. - You run your own business and you are responsible for your own compliance (advertising labels, taxes, insurance, local rules). We do not check your nationality or your insurance. You declare, you guarantee. - Only individuals who live, and companies that are established, in a country where My Edwin is offered can join (clause 3.2 bis). - Every content item that presents Edwin must be clearly labelled as advertising. - Your Code gives new customers 20% off their first month. Using your own Code for yourself is forbidden. - Commission: 20%, then 25% and 30% by tier, on the base subscription actually paid (excluding taxes, after discount), for 12 months per customer. A customer who cancels and later re-subscribes brings no further commission. - Payment is monthly, after a manual check, from EUR 50. A transfer costs EUR 1 (free from EUR 100). - A US tax form (W-9 or W-8BEN) is required before your first payout. - You allow us to republish and use your videos, including on our own social networks and in our advertising, without extra payment (clause 16). - We may check your content, but we are never obliged to. A check is never an approval. - We may change this Agreement with 30 days' notice.
1. Acceptance and contract documents
1.1 Acceptance. You accept this Agreement by ticking the acceptance box when you activate your Creator account and clicking the confirmation button. You can read the full text, download it and print it before accepting. The box is not pre-ticked. When you activate your Code, you also tick the second box described in clause 1 bis. Acceptance is a binding electronic signature. The parties agree that electronic acceptance has the same effect as a handwritten signature to the extent permitted by applicable law.
1.2 Evidence of acceptance. To prove acceptance and the specific approval in clause 1 bis, we record and keep: your account identifier, e-mail address, the date and time (UTC) of acceptance, the version identifier and a cryptographic hash of the text accepted, the language displayed, the text of the box, the IP address and browser or device data at the time of acceptance, and the confirmation e-mail sent to you. These records are admissible evidence between us; you may rebut them. We keep them for the duration of the Agreement and for the period stated in Annex E afterwards, or longer if a dispute is pending.
1.3 Documents. The Agreement consists of these terms and: Annex A (Commission schedule and examples), Annex B (Approved messages and brand rules), Annex C (Advertising disclosure by country and country terms), Annex D (Tax and payment documents), Annex E (Privacy notice for Creators), Annex F (Acceptance record and declarations). If they conflict, the numbered clauses prevail over Annexes A, B and D. Annex C, section C.2 (France) prevails for Creators whose activity targets France.
1.4 Public programme page. The public creator page at myedwin.com is marketing information. If it differs from this Agreement, this Agreement prevails and we will correct the page.
1.5 Copy. We send you a copy of the accepted version by e-mail and keep it available in your Creator account.
1.6 New versions. When we publish a new version under clause 23, we give 30 days' notice. For a change that is materially adverse to you, we may ask you to accept the new version again by ticking a new box (and, where the change concerns a clause listed in clause 1 bis.2, the second box). We keep a record of each acceptance as described in clause 1.2.
1 bis. Specific approval of certain clauses
1 bis.1 Second tick box. When your Creator account is created and your Code is activated, the application shows a second tick box, separate from the acceptance box in clause 1.1 and not ticked by default. By ticking it you expressly approve the clauses listed in clause 1 bis.2. Your Code is activated only once this second box has been ticked.
1 bis.2 Clauses concerned. You expressly approve the following clauses, which you have read: - a) Clauses 20.5, 20.6 and 20.7 (Limit of our liability to you, Limits of the limitation, No cap on your obligations): limitation of liability and exclusions; - b) Clauses 20.1 and 20.3 (Your warranties, Your indemnity) and clause 12.7 (Tax claims against us): the warranty and indemnity given by you; - c) Clauses 7.4 (Changes of Rates and thresholds) and 8.6 (Price changes): revision of Rates and of the price base; - d) Clause 23 (Changes to this Agreement): unilateral change of the terms; - e) Clauses 3.2 bis (Eligibility), 18 (Suspension) and 19 (Term, termination and Fraud): suspension and termination, including the forfeiture in clause 19.6; - f) Clauses 25 (Governing law), 26 (Dispute resolution and jurisdiction), including the arbitration clause (26.2) and the jury waiver (26.4); - g) Clause 28.5 (Language); - h) Clauses 16.4 and 16.5 (Licence to Edwin, End of the licence): the licence over your content; - i) Clauses 10.3 (Recovery of Commissions already paid), 11.6 (Set-off and recovery) and 19.6 (Consequences of Fraud): set-off and recovery of Commissions; - j) Clause 17 (Independence, no agency, no multi-level scheme); - k) Clause 14 (Advertising transparency and content rules), including clause 14.10 (our right to review, with no obligation); - l) Clause 13 (Sanctions, anti-money-laundering and identity) and clause 12 (Taxes, tax forms, invoicing and documents).
1 bis.3 Record. The approval is time-stamped and kept with the version of the Agreement, your account identifier and your IP address, in the same way as acceptance (clause 1.2).
1 bis.4 Country terms. The country terms in Annex C and in the country annexes may adapt the list in clause 1 bis.2 to local law or add the legal reference that local law requires. Ticking the second box does not deprive you of any mandatory right of your country.

3. Eligibility, selection, declarations and account
3.1 Registration Data. You must give complete and accurate information: full legal name (and company name if any), postal address, e-mail address, country of residence and of tax residence, status (individual or business), business or tax identification number where you have one, the accounts and channels you use to promote Edwin, your Target Audience, and the country where you are established. You must update them within 14 days of any change. Inaccurate data is a material breach.
3.2 Age and capacity. You must be at least eighteen (18) years old, or of full age under the law of your country if higher, and legally able to enter into this Agreement. A person who acts for a company must have authority to bind it. The Programme is not available to anyone under that age or under a guardianship that prevents contracting.
3.2 bis Eligibility: Served Countries only. We accept as Creators only individuals and companies established in a Served Country. (a) If you are an individual, your habitual residence is in a Served Country. (b) If you are a company or other entity, your registered office or principal place of business is in a Served Country. (c) You declare this at registration and you tell us within fourteen (14) days of any change. (d) Your content is addressed mainly to an audience in the Served Countries. (e) If this stops being true, or if a declaration was false, we may refuse your application, suspend your Code or terminate this Agreement (clauses 18 and 19.3), without compensation; Commissions already earned remain payable under clauses 9, 10 and 13.
3.3 Selection. The Programme is open to applications from every eligible person or company (clause 3.2 bis), but not every applicant is selected. We decide at our discretion, on objective criteria (audience relevance, content quality, brand fit, compliance history, risk, and videos about Edwin published before launch), and need not give reasons, except where a law requires it. Selection does not oblige us to pay any amount other than Commissions earned under this Agreement.
3.4 One account. One Creator, one Programme account, one Code. You must not create several accounts or let anyone else use your account. If you act through a company, the company is the Creator and you are jointly responsible with it for the acts of the person who manages the accounts.
3.5 Account review. We may review each declared account before admission and at any time (public content, consistency of audience, compliance). You must tell us of any new account or channel used to promote Edwin before using it for the Programme.
3.6 Identity checks. Before the first payout, and at any time when the law or our Payment Provider requires, we may ask for proof of identity, address, tax status and ownership of the payment account (clause 13).
3.7 Declarations. You declare that: you meet the eligibility conditions of clause 3.2 bis and are not subject to a sanctions designation (clause 13); you are not a current employee of the Company; you may promote Edwin without breaching an exclusivity, employment, confidentiality or other obligation owed to a third party.
3.8 Your own compliance. You are solely responsible for complying with the laws that apply to your activity and to your Target Audience: advertising disclosure, registration with authorities, content codes, taxes, social contributions, insurance, and the appointment of a legal representative where the law requires one. At registration you confirm by ticking declaration boxes (Annex F): your country of residence and of tax residence, your Target Audience, and, if you are established outside the European Union, the European Economic Area and Switzerland and your Target Audience includes France, that you have appointed a legal representative in the European Union and hold the professional civil-liability insurance required by French law (clause 14.7). We do not check your nationality, your insurance or your representative, and we have no obligation to do so. We rely on your declarations, which you warrant to be true and which you must keep accurate. This does not prevent us from acting under clauses 18 and 19 if we know that a declaration is false. Failure to comply is your responsibility and engages your indemnity under clause 20.3.
4. The Programme and the Creator's role
4.1 Purpose. The Programme allows you to recommend Edwin to your audience and to earn Commissions on Eligible Payments of Customers who subscribe using your Code.
4.2 Nature of the activity. Your activity consists solely of publishing, on your own initiative, your own content that presents Edwin truthfully and invites people to use your Code. You have no obligation to publish, no minimum volume, no deadline and no exclusivity. We may provide key messages, visuals and ideas (Annex B); you may use them freely within the limits of this Agreement.
4.3 Remuneration. Your only remuneration is the Commission, calculated under clauses 7 and 8 and paid under clauses 9 to 13. There is no fee, bonus or benefit in kind unless expressly agreed in writing. If we give you free access to Edwin or another benefit, its value and terms are stated in the invitation. You pay nothing to join.
4.4 No guarantee. We do not guarantee any number of Customers, any amount of Commission, or that the Programme will remain open. Examples in Annex A are illustrations, not promises.
4.5 Customers and product. We alone decide on product features, plans, prices, availability, customer acceptance, refusal of an order and closure of any account. Features announced as "coming later" may change or never be offered; you must not present them as available.
5. Creator Code and Fan Discount
5.1 Unique code. Once admitted, we assign you a unique personal Code. Attribution works by Code only: there is no personal link, cookie or other tracking unless we announce otherwise in writing.
5.2 Activation. The Code is inactive until we have approved your first Validated Publication. Until then the checkout shows that the code is not valid and no Customer is attributed to you. We aim to review a publication within ten (10) business days of your submission. We may refuse a publication that breaches clause 14 or 15 and tell you why so that you can submit another one.
5.3 Attribution. A Customer is attributed to you only if they enter your active Code at checkout when taking their first Base Subscription. Attribution cannot be added afterwards, changed or transferred, except where we find a demonstrable technical error within thirty (30) days of the subscription. If a Customer used several codes, only the one accepted at checkout counts.
5.4 Fan Discount. The Fan Discount applies to the first month's payment of a new Customer's first Base Subscription only. It is funded by us. We may change the discount, its duration or conditions for future subscriptions with notice under clause 23. You may not offer any other discount, price, bundle, refund, bonus or promise, and you may not create or distribute other codes.
5.5 Deactivation. We may deactivate the Code for new attributions if: you have had no Active Paying Customer and no new Validated Publication for ninety (90) days; you breach this Agreement; the Code is used in a way that we reasonably regard as abusive; or this Agreement ends. Customers already attributed remain attributed until the end of their Commission Window, unless clause 19 applies.
5.6 No transfer. The Code belongs to us. You may not sell it, share it, publish it on voucher or coupon sites, or enter it in browser extensions or price-comparison tools without our written approval.
6. Self-referral and misuse of the Code
6.1 Prohibition. You must not subscribe to Edwin yourself using your Code, directly or indirectly (including through a company you run, a second account, a test account, or a subscription that you pay for and that is refunded or reimbursed to you), nor use your Code to obtain the Fan Discount or a Commission on a subscription that benefits you. This clause concerns you only. We do not investigate your family or friends.
6.2 Automatic checks. We may refuse the Code at checkout, or attribute a Customer without Commission, where signals indicate that the subscriber is you, including the same or an alias e-mail address, the same payer identity, payment card fingerprint or bank account, device, network address or company registration number. Refusal on the basis of such signals is not an accusation of Fraud. You may ask for a review within thirty (30) days by writing to contact@myedwin.com with proof that the subscriber is someone else.
6.3 Other prohibited conduct. You must not: buy, incentivise or pay people to subscribe; offer cash-back, gifts or refunds in return for subscribing; create fake accounts or fake traffic; use bots, scripts, click farms or purchased followers; use misleading ads or content to induce subscriptions; or place the Code where users see it at checkout without a genuine recommendation (code scraping, cookie stuffing, browser extensions). Breach of this clause is Fraud if the conditions of clause 19.4 are met and otherwise a material breach.
7. Commission rates and tiers
7.1 Tiers. The Rate for a Commission Month depends on the number of Active Paying Customers attributed to you on the Count Date:
| Tier | Active Paying Customers on the Count Date | Rate |
|---|---|---|
| Creator | from the first Active Paying Customer (everyone starts here) | 20% |
| Partner | 50 or more | 25% |
| Ambassador | 100 or more | 30% |
7.2 Application. The Rate for a Commission Month applies to all Eligible Payments received during that Commission Month. A higher Rate applies only to Eligible Payments received from the Commission Month following the Count Date on which you reached the higher threshold; it does not apply to earlier payments. The tier is recalculated each month. If the number of Active Paying Customers falls below a threshold on a later Count Date, the lower Rate applies to later Commission Months. A lower Rate never reduces Commissions already accrued.
7.3 Nothing else gives a right. Only the thresholds and Rates in this clause 7 give rise to a right. Any special arrangement for long-term partners described on the programme page requires a separate written agreement.
7.4 Changes. Rates and thresholds may be changed only under clause 23 and never for Eligible Payments already received.
8. Commission calculation
8.1 Formula. Commission = Rate x Base Subscription Net Amount, for each Eligible Payment, net of any amount refunded or reversed (clause 10).
8.2 Base. No Commission is due on taxes, top-ups, recharges, add-ons, options, usage charges, setup fees, interest, late fees, shipping, or the Payment Provider's fees; nor on amounts that were not collected, were refunded, were credited free of charge, or were paid with a coupon that reduced the price to zero.
8.3 First month. The Fan Discount reduces the Base Subscription Net Amount of the first month, so the Commission for that month is lower (see Annex A).
8.4 Twelve months. Commissions are due only on Eligible Payments made within the Customer's Commission Window of twelve (12) months from the first successful payment. The window is not extended by a pause, suspension, plan change or renewal. If a Customer changes plan, the Commission follows the Base Subscription Net Amount of the new plan for the rest of the window.
8.5 Re-subscription after cancellation. If a Customer cancels the Base Subscription (or the subscription ends for non-payment) and later subscribes again, whether or not with your Code, no Commission is due on any payment made after the re-subscription. No new Commission Window starts, the Customer is no longer an Active Paying Customer for the tier count, and the original window is not extended. Commissions on Eligible Payments made before the cancellation are not affected.
8.6 Price changes. The price of the Base Subscription is set by us and may change (see the "Pricing" page). The Commission always follows the Base Subscription Net Amount actually paid.
8.7 Currency of calculation. The Commission is calculated in the currency in which the Customer paid.
8.8 Rounding. Amounts are rounded to the nearest cent.
9. Statements, maturity and payment
9.1 Statement. After each Commission Month we make available in your Creator account a statement (the "Statement") showing, per Eligible Payment: Customer reference (anonymised), payment date, currency, Base Subscription Net Amount, Rate, Commission, reversals and adjustments, and the balance.
9.2 Maturity. A Commission becomes payable ("Matured") thirty (30) days after the date of the Customer payment on which it is based, so as to cover refund periods. This does not end the clawback period in clause 10.
9.3 Manual review. Before each payout we review the Commissions manually (identity, signals of Fraud, refunds, disputes, tax documents, sanctions screening). We may extend the review for up to thirty (30) days if we reasonably suspect a breach, and tell you why.
9.4 Payout. If, after the review, your Matured balance net of adjustments and of any amount you owe us (the "Payable Balance") is at least the Payout Threshold, we pay it once a month, by the 15th of the month following the Commission Month in which the Commissions Matured, by bank transfer to an account in your own name, by PayPal to a verified account in your own name, or by another method we offer. A lower balance is carried over to the next month. If the Agreement ends without breach, a Payable Balance below the Payout Threshold is paid on request, within twenty-four (24) months of the end of the Agreement, after which it lapses to the extent the law allows .
9.5 Conditions. Payment requires that you have given us the information and tax documents in clause 12, passed identity and sanctions checks (clause 13), and are not in material breach. We do not pay in cash or crypto-assets, or to third parties.
9.6 Disputing a Statement. You must contest a Statement in writing within ninety (90) days of its availability, with reasons. We reply within thirty (30) days. We pay the uncontested part.
9.7 Delay. Time of payment is not of the essence for banking and Payment Provider delays beyond our control (for example public holidays, bank rejection, incorrect account details). Failure to pay on time because of your incorrect details is not a breach by us.
10. Refunds, chargebacks, non-payment and clawback
10.1 Cancellation of Commission. If a payment on which a Commission is based is refunded (in whole or part), cancelled, charged back, reversed, disputed and decided against the merchant, not collected, or otherwise returned, the Commission on that payment (or the corresponding part) is cancelled. This also applies where we, in good faith and in accordance with our customer terms or the law, grant a refund or a credit to the Customer. We will not grant a refund for the purpose of reducing your Commission.
10.2 Reversal period. Reversals are applied if they occur within one hundred and eighty (180) days after the date of the original Customer payment. There is no time limit for reversals linked to Fraud, subject to the statute of limitations.
10.3 Recovery of Commissions already paid. If a Commission has already been paid and is cancelled under clause 10.1: (a) we deduct it from your next Payable Balances and carry any negative balance forward; (b) if there is no further balance within twelve (12) months, or if the Agreement has ended, we send you a repayment request and you repay within thirty (30) days; (c) the amount is restitution of an undue payment, not a penalty. We do not charge interest on amounts repayable under this clause unless you fail to repay after a formal notice, in which case legal interest applies.
10.4 No reversal for cancellation. The cancellation of a subscription for the future (non-renewal) does not reverse past Commissions on payments that were collected and not refunded.
10.5 Evidence. Our Payment Provider's records and our billing records are prima facie evidence of payments, refunds and chargebacks. We show them in the Statement.
11. Currency, transfer fees, withholding and set-off
11.1 Payout currency. We pay in euros (EUR) unless you choose another currency among those we offer (USD, GBP, CAD) in your Creator account.
11.2 Conversion. Where the payout currency differs from the currency in which the Commission is calculated, we convert at the exchange rate applied by our Payment Provider or bank on the conversion date or, if none applies, at the European Central Bank reference rate (or other published mid-market rate) of the Statement date. The Statement shows the rate and the converted amount. We do not adjust amounts for exchange-rate movements after the Statement.
11.3 Transfer fee. Each bank transfer costs one euro (EUR 1), or the equivalent in the payout currency, which we deduct from the amount paid. The transfer is free when the Payable Balance paid in that transfer is EUR 100 or more. Beyond this fee, you bear the fees charged by your bank, intermediary banks, PayPal receiving fees, and currency conversion on your side. Where a provider deducts fees from the transfer, the amount you receive may be lower than the amount in the Statement; we are not liable for it. We bear the fees that our own bank or Payment Provider charges us.
11.4 Withholding. We may deduct and pay to the competent authority any tax or other amount that the law requires us to withhold. We give you proof where available. We do not increase the payment to compensate for withholding.
11.5 Retention of disputed amounts. We may retain the part of the Payable Balance that is reasonably in dispute or under investigation, for the time needed to verify it (clauses 9.3 and 18), and pay the rest.
11.6 Set-off and recovery. We may set off any amount that you owe us under this Agreement (for example under clause 10 or 19) against any amount we owe you, and recover Commissions on payments that are refunded, disputed (including a chargeback) or fraudulent.
11.7 No other payment. We do not pay interest on amounts due, held, or carried over.
12. Taxes, tax forms, invoicing and documents
12.1 Your responsibility. You are solely responsible for all taxes, social contributions, registrations, licences and filings that arise from your activity and Commissions, in your country and elsewhere. Commissions are exclusive of value-added tax or sales tax. We do not give tax, legal or social security advice.
12.2 Tax form before the first payout. Before your first payout you must give us a tax form: a Form W-9 if you are a United States tax resident, otherwise a Form W-8BEN (individuals) or W-8BEN-E (entities), or another form we specify. You send it through the secure upload in your Creator account, never by e-mail. Without a valid form, no Commission is paid. You must provide a new form when the information changes or the form expires, and give your country of tax residence and your taxpayer identification number where applicable.
12.3 Place of services. You declare the country from which you perform the promotion. If you perform any of it while physically in the United States, you must tell us before the payout, because the tax treatment can differ.
12.4 Withholding if no form. We may withhold payment until we receive a valid form, and we may be required by law to withhold tax at the rate that applies if you do not provide one.
12.5 Invoices. If you are a Business Creator registered for VAT, GST or equivalent, or if the law of your country requires you to invoice, you must issue us an invoice for each Statement showing the correct tax treatment. For a supplier established in the European Union invoicing a customer established outside the European Union for a business service, the invoice should state that the service is not subject to EU VAT . If you are an individual not required to invoice, the Statement is the payment advice. If we introduce self-billing, we will notify you and ask for your written acceptance; you will not issue a duplicate invoice.
12.6 Reporting. We may report your payments and details to tax authorities (including the U.S. Internal Revenue Service) where the law requires, and respond to lawful requests.
12.7 Tax claims against us. You indemnify us for taxes, interest and penalties that a tax authority claims from us because of your failure to provide correct forms or information.
13. Sanctions, anti-money-laundering and identity
13.1 Compliance. We comply with the economic sanctions and export control laws of the United States (including OFAC), the European Union, the United Kingdom and the United Nations, and with applicable anti-money-laundering laws.
13.2 Sanctions lists. You declare that neither you nor any person who owns or controls you (including any beneficial owner) appears on a sanctions list of the United States (including OFAC), the European Union, the United Kingdom or the United Nations, or is owned 50% or more by listed persons. Payments may be blocked if the law requires it.
13.3 Your declarations. You declare and warrant, now and each time you accept a payout, that: (a) neither you nor any person who owns or controls you is on a sanctions list or owned 50% or more by listed persons; (b) the funds paid to you are not used for, or derived from, unlawful activity; (c) the payment account is in your own name.
13.4 Duty to inform. You must tell us without delay if you or a person who controls you becomes listed, or if you cease to meet clause 3.2 bis. Commissions already earned are handled under clause 13.5.
13.5 Our rights. We may, without liability and with immediate effect, refuse to admit you, suspend the Code, hold, block or return payments, and terminate the Agreement where we reasonably believe that continuing would breach a sanctions or anti-money-laundering law, or when a bank, Payment Provider or authority requires it. Where the law requires it, funds are blocked, not only held. We may be prohibited from telling you why.
13.6 Identity verification. We may require proof of identity, address, legal existence, beneficial ownership and ownership of the payment account, directly or through a provider. You consent to the use of such providers (Annex E).
13.7 Integrity. You will not offer or accept any improper payment, gift or advantage, and will not give anything of value to our staff or to a Customer to influence a decision.
14. Advertising transparency and content rules
14.1 Disclose every time. Every item of Creator Content that mentions Edwin, shows your Code, or invites people to subscribe is advertising, because you may be paid. You must make this clear, immediately, in the language of the content, using the wording and placement set out in Annex C for the country (or countries) of your Target Audience; if several countries apply, use the strictest rule. In all cases: (a) put the disclosure at the beginning of the post, caption, video (spoken and on screen) or story, not hidden in hashtags or behind a "more" button; (b) use the platform's paid-partnership or branded-content tool in addition (not instead) where available; (c) name Edwin or My Edwin as the advertiser where the local rule requires; (d) repeat the disclosure in long videos and live streams; (e) repeat it in each separate item of a series or story; (f) keep it when reposting or sharing to another channel; (g) do not describe the Code or discount as a personal recommendation without the disclosure.
14.2 Where no rule is listed. Use a clear word for "advertisement" in the local language together with the brand name. Never rely on vague tags such as "#sp", "#collab", "#partner", "#ambassador", "#gifted", "thanks to", "in cooperation with", or on a profile bio notice.
14.3 Truthful statements. You may describe Edwin only accurately, using the facts in Annex B. You must not: (a) promise or imply results, earnings, savings, time gains, success rates or dates; (b) present as available any feature that is not yet available (for example, text messages to customers are paused) or that is announced for later; (c) claim a personal experience of Edwin that you have not had (if you describe your experience, you must have genuinely used Edwin); (d) present Edwin as legal, tax, medical or financial advice; (e) deny that Edwin is an artificial-intelligence assistant, or conceal that it can make mistakes; (f) present Edwin as free, or as having a free trial or a free plan; (g) make comparisons that are false, misleading or disparaging; (h) state or imply that Edwin is endorsed by, or affiliated with, any technology company, platform or authority; (i) make claims about the earnings available in the Programme beyond Annex A.
14.4 Audience. Edwin is for business customers. You must not direct content at children or present Edwin to consumers as a consumer product.
14.5 No unsolicited messages, brand protection. You must not send unsolicited messages (e-mail, text, direct messages, comments, calls) in breach of applicable law or in the name of Edwin (for example under CAN-SPAM, TCPA, CASL, PECR, GDPR and ePrivacy rules). You must not impersonate Edwin, the Company or its staff; bid on "Edwin", "My Edwin", "MyEdwin" or similar terms or misspellings in paid search or social advertising; register domain names, social handles, apps or pages that include or resemble our marks; buy misleading traffic; or run paid advertising of any kind that uses your Code or our Brand Assets, or that uses your content as paid media from your accounts or ours (including partnership ads or boosted whitelisting), without our prior written approval. This clause does not limit our own use of the licence in clause 16.4.
14.6 Minors. Do not include minors in Creator Content about Edwin unless you have valid, informed written consent of their legal representatives and comply with the local rules on child performers; protect their dignity and privacy.
14.7 Creators established outside the EU, the EEA and Switzerland who address France. Under French law (Law no. 2023-451 of 9 June 2023), an influencer established outside the European Union, the European Economic Area and Switzerland whose activity targets the public in France must appoint a legal representative in the European Union and hold professional civil-liability insurance with an insurer established in the European Union . This obligation is yours. If you are in this situation, you declare at registration that you have complied (clause 3.8). We do not exclude such Creators, we do not verify these elements as a routine, and nothing makes us your representative or your insurer. If we know or have serious reason to believe that your declaration is false, we may ask you for the appointment and the certificate of insurance, suspend the Code for content aimed at France, withhold Commissions that relate to the French audience until you comply, or require that you stop targeting the French public.
14.8 Local registration and thresholds. You are responsible for knowing whether the local rules treat you as a "relevant" influencer or media service provider (for example in Italy under AGCOM rules and in Spain under Royal Decree 444/2024) and for registering, complying with content codes and notifying us if you are in scope.
14.9 Retouched and virtual images. Where you use artificial intelligence or editing that changes a face or body shape, or create virtual persons or voices, you must disclose it as the law of your Target Audience requires (in France: "Images retouchées" or "Images virtuelles"), and you must not use a synthetic version of a real person without that person's consent.
14.10 Our right to review, spot checks and removal (no obligation). We validate your first publication (clause 5.2). After that, we may at any time, but are never obliged to, view your Creator Content, check it by sampling, receive reports from third parties, ask you for the link to any Creator Content, and ask you to correct or remove content within forty-eight (48) hours (twenty-four (24) hours where we believe it breaches a law or a platform rule). We do not promise to check every item. Any check, approval of a Validated Publication, silence or absence of reaction is not an approval of the content, not a legal review and not a warranty of compliance, and does not transfer your responsibility to us. You must keep a record of your disclosures and of how you presented Edwin for twelve (12) months.
14.11 Platform rules. You must comply with the terms and advertising rules of each platform you use, including their branded-content rules.
14.12 Your responsibility. You are responsible for your Creator Content and for compliance with the advertising law of each country you target. Our provision of key messages does not make us responsible for your content.
15. Prohibited content and conduct
15.1 You must not use Edwin, the Code or our Brand Assets in, next to or in connection with content or accounts that contain or promote: (a) hate speech, discrimination, harassment, violence or incitement to violence; (b) sexual or other adult (18+) material, including nudity; (c) illegal activity or illegal goods and services; (d) defamation, invasion of privacy, or infringement of any right of a third party (including counterfeit goods); (e) disinformation, deepfakes of real persons without consent, or political or election campaigning; (f) gambling, sports betting or betting tips; (g) tobacco, nicotine, vaping products, drugs or weapons; (h) crypto-assets, investment, trading or other financial products or services, or loans; (i) cosmetic surgery, medicines or medical devices; (j) pyramid, multi-level or "get-rich-quick" schemes and "business opportunity" offers; (k) content directed to children.
15.2 Accounts whose main subject is a category above are not eligible for the Programme.
15.3 You must respect the laws that restrict the promotion of certain products or services in your country, including those that apply to influencers.
15.4 We may add categories for the future under clause 23 where required by law, a platform or a Payment Provider.
16. Intellectual property, licences, image rights and music
16.1 Our property. The names "Edwin" and "My Edwin", logos, visuals, videos, key messages, software and all related rights (the "Brand Assets") belong to the Company or its licensors. No right is transferred to you except as stated here.
16.2 Licence of Brand Assets. For the term of this Agreement we grant you a non-exclusive, non-transferable, non-sublicensable, revocable, worldwide licence to use the Brand Assets, as we supply them, solely to promote Edwin in the Programme in accordance with Annex B. You must not modify them (except resizing), combine them with your own marks, register or use confusingly similar marks, domain names or handles, use them to suggest that you are the Company or that the Company endorses anything else, or use them after the Agreement ends (except in content already published, which may remain online but may not be republished or promoted). All goodwill belongs to the Company.
16.3 Your content. You keep ownership of your Creator Content and of your name, image and voice. Nothing is assigned to us.
16.4 Licence to Edwin. By submitting, publishing or making available Creator Content (in particular a Creator Video) in connection with the Programme, you grant Holding AMR LLC, and its service providers and the social platforms it uses, a non-exclusive, worldwide, royalty-free, sublicensable licence, for the term of this Agreement and for twelve (12) months after it ends, to reproduce, display, communicate to the public, repost, share, embed, subtitle, translate, crop and technically edit (without altering its meaning) the Creator Content, including your name, handle, image and voice as they appear in it: (a) on Edwin's own social media accounts (including TikTok, Instagram, YouTube, LinkedIn, X and Facebook); (b) on the myedwin.com websites and in the Edwin application; and (c) in Edwin's advertising and promotional materials, including paid promotion of the post (for example boosting, partnership ads or equivalent platform tools). On request, you will give the platform authorisations needed for that purpose. No separate remuneration is due: you acknowledge that the Commissions and your participation in the Programme are full and sufficient consideration. We will tag or credit you where the law or platform practice requires it. The licence is limited to the uses, media, territory (worldwide) and duration stated in this clause.
16.5 End of the licence. When the licence ends (twelve (12) months after the end of the Agreement), we make no new use of the Creator Content: no new republication, no new promotion, no new edit. Publications already online on our own channels at that date may remain online and are kept, without being republished or promoted again. Before the end of the licence, you may ask us to remove a specific republication where a mandatory rule of your country (for example on image or voice rights) allows you to; we will do so within thirty (30) days, without obligation to recall copies already lawfully distributed or archived. We will not use your image or voice in a way that suggests that you endorse anything other than what you said, or that is degrading.
16.6 Third-party persons and material. You warrant that, for every person who appears or speaks in the Creator Content, you hold the consent to appear and to our licensed uses (and that of the legal representative for a minor), and that you hold all rights in the footage, images, text, fonts, software and sounds, including trademarks shown.
16.7 Music and neighbouring rights. Use either no music, or only music, sound recordings, sound effects and video clips that you are authorised to use in commercial or branded content by a brand on that platform and for our reuse (for example from the platform's commercial music library or under a commercial licence). Music available on a platform for personal use only must not be used. If your music licence does not cover our reuse outside the original platform, you will send us on request a version without music; otherwise we will not reuse the content. You warrant that the Creator Content does not infringe any copyright, neighbouring right, performer's right, producer's right, trademark, privacy or other right. For content addressed to France, the licence in this clause 16 is granted for the stated uses, territory and duration (Annex C, section C.2).
16.8 Moral rights. We respect your moral rights as the law of your country provides.
16.9 Feedback. If you give us suggestions about Edwin, we may use them freely without payment.
17. Independence, no agency, no multi-level scheme
17.1 Independent contractor. You act as an independent person. This Agreement does not create employment, partnership, joint venture, franchise, agency or representation. You are neither our employee, nor our agent, nor our partner. You decide whether, when, how and where to publish; you use your own means and bear your own costs; you have no exclusivity or territory; you may promote other products (subject to clause 14.5 and to conflicts of interest you must disclose). We give no instructions on how you work and no content instructions, only the legal, platform and brand requirements in this Agreement.
17.2 No authority. You have no authority to bind the Company, to negotiate prices or terms with Customers, to conclude or sign any contract for the Company, to receive money or to promise anything beyond Annex B. A Customer takes out the subscription directly on our checkout, through our Payment Provider; the commercial terms are ours alone. You do not give technical support to Customers on our behalf.
17.3 No commercial agency. The parties do not intend to create a commercial agency or a mandate to negotiate. The Commission remunerates the promotion of Edwin and nothing else. If, despite this clause, a court or authority holds that a mandatory agency law applies to you, the Commission is the whole of the remuneration owed to you, and any termination indemnity or compensation will be limited to what the law does not allow to be excluded. Nothing in this Agreement waives a right that cannot lawfully be waived.
17.4 One-level programme. You may not recruit other creators or sub-affiliates, receive any payment for recruiting, ask anyone to pay a fee to join, sell or transfer your Code, or present the Programme as an income opportunity. Commission arises only from payments by Customers for the Edwin service.
17.5 Social security, insurance and permits. You are responsible for your own social security, insurance, local permits and employment-law status.
18. Suspension
18.1 Grounds. We may suspend your account and Code immediately if: (a) we reasonably suspect a breach of clauses 3.2 bis, 6, 13, 14 or 15; (b) a law, authority, platform or Payment Provider requires it; (c) your tax, identity or sanctions documents are missing or invalid; (d) a Customer or third party makes a serious complaint about your content; or (e) there is a security risk. We may also ask you to remove or hide content, without notice, in the cases above.
18.2 Effects. During suspension: (a) the Code is not accepted for new subscriptions; (b) Commissions on Eligible Payments from Customers already attributed continue to accrue but you cannot request or receive payment; (c) you must not publish new content promoting Edwin, and must edit or remove content if we ask under clause 14.10.
18.3 Notice and reply. We inform you by e-mail, giving the reason and facts in reasonable detail unless the law or security prevents it. You may reply with explanations or corrections within fifteen (15) days. We decide in good faith within fifteen (15) days after your reply (or after the reply period ends).
18.4 Outcome. If the suspension is unfounded or the breach is remedied, we lift it and pay the held Commissions at the next payout. If it is founded and serious, clause 19 applies. If we have not decided within ninety (90) days, we lift the suspension or terminate under clause 19.3.
19. Term, termination and Fraud
19.1 Term. The Agreement starts on acceptance and continues until terminated under this clause.
19.2 Termination by you. You may terminate at any time by notice through your Creator account or by e-mail. Commissions already earned stay payable. For Customers already attributed, Commissions on Eligible Payments continue until the end of each Commission Window if you keep your published content compliant with clause 14 and remove it if we ask under clause 14.10 because it is no longer compliant.
19.3 Termination by us. We may terminate: (a) without cause, on thirty (30) days' notice, Commissions earned and, for Customers already attributed, Commissions to the end of their Commission Windows remaining payable; (b) for material breach, by notice, after giving you fifteen (15) days to reply under clause 18.3, or immediately if the breach cannot be remedied; (c) immediately for Fraud (clause 19.4), for breach of clause 3.2 bis or 13, or for illegal content; (d) on sixty (60) days' notice if we close the Programme (accrued Commissions and Commissions to the end of the Commission Windows remaining payable), or immediately if required by law.
19.4 Fraud. "Fraud" means an intentional act or omission, by you or anyone acting with your knowledge, that is meant to obtain Commissions, Fan Discounts or other benefits to which you are not entitled, including: (a) self-referral contrary to clause 6.1; (b) creating or using fake or dummy Customers or accounts; (c) buy-and-refund schemes, chargeback abuse, or use of stolen or third-party payment means; (d) artificial traffic, bots, purchased followers or engagement; (e) false statements in Registration Data, declarations, documents or Validated Publications, including publications not made by you; (f) deceiving or impersonating the Company or deceiving Customers into using your Code; (g) manipulating the tier count or the Commission Window (for example by splitting or reselling accounts); (h) forged documents. A mistake or negligence is not Fraud, but may be a breach.
19.5 Procedure for Fraud. Before applying clause 19.6, we send you a written notice with the facts and the evidence in reasonable detail (without disclosing detection methods that would compromise security). You have fifteen (15) days to reply. We decide in good faith and tell you the reasons; on your request within fifteen (15) days, the decision is reviewed by a person who did not take it. We bear the burden of showing the facts. Pending the procedure, clause 18 applies; we may terminate immediately where the facts are clear.
19.6 Consequences of Fraud. If Fraud is established: (a) the Agreement ends immediately and the Code is deactivated; (b) no payment is due to you, including Commissions already accrued but not yet paid, and all Commissions stop; (c) Commissions already paid that relate to Customers or payments affected by the Fraud must be repaid to us (clause 10.3), as restitution; (d) we may recover the value of Fan Discounts granted in the Fraud and our proven direct losses (for example chargeback fees and investigation costs of external providers); (e) we may report the facts to Payment Providers, platforms and authorities. Clause (b) is a rule of forfeiture agreed in view of the intentional nature of Fraud and of the difficulty of separating tainted from untainted Commissions; it is not a penalty for a mere breach.
19.7 Reduction. If a court or authority finds that clause 19.6(b) or (d) is excessive or unenforceable in a particular case, it is reduced to the extent necessary so as to be enforceable, and the other provisions are unaffected. We may in our discretion pay Commissions that clearly relate to Customers not affected by the Fraud.
19.8 Effects of the end of the Agreement. On termination: (a) accrued and Matured Commissions remain payable in accordance with this Agreement, except under clause 19.6; (b) you stop using the Brand Assets for new content within fourteen (14) days; (c) published content may remain online but must continue to comply with clause 14 for as long as it is public, and you will not republish it; (d) the licence in clause 16.4 continues for the period stated there; (e) clauses that by nature survive continue (including clauses 10, 11, 12, 16, 19.6 to 19.9, 20 to 22, 25 to 28).
19.9 Dormant accounts. If you have not logged in or published for twenty-four (24) months and have no payable balance, we may close your account after thirty (30) days' notice.
20. Warranties, liability and indemnity
20.1 Your warranties. You warrant that: (a) the Registration Data, declarations and documents are true and complete; (b) you have the right and capacity to enter into and perform this Agreement; (c) your Creator Content is lawful, truthful, does not infringe rights of others and complies with clauses 14 to 16; (d) you will comply with the laws that apply to your activity, including advertising, consumer, tax and data-protection laws; (e) you will not use any means contrary to the platforms' rules.
20.2 Third-party liability. The law of certain countries makes the advertiser, the influencer and any influencer agent jointly and severally liable towards third parties for damage caused in the performance of an influence contract (for example, in France, Article 8 of Law no. 2023-451). Nothing in this Agreement limits the rights of third parties under such a rule. Between you and us, each party bears the loss caused by its own acts: you for your Creator Content, your statements and your breaches of this Agreement; we for the Edwin service and for the Brand Assets and key messages as we supplied them.
20.3 Your indemnity. You will indemnify us against claims, fines, damages, reasonable legal costs and amounts paid to third parties that result from your Creator Content, your declarations, your breach of clauses 3.8, 6, 13, 14, 15 or 16, or your failure to meet your legal, tax or insurance obligations, to the extent they are caused by your acts or omissions. If you are not a Business Creator, your indemnity is limited to losses that result from your fault or your breach, and does not apply where the law of your country of residence forbids it.
20.4 No warranty on revenue. We provide the Programme "as available". We do not warrant that Edwin will be available without interruption, that any feature will exist, or that you will earn any amount. Examples in Annex A are illustrations.
20.5 Limit of our liability to you. To the extent the law permits, (a) we are not liable for indirect or intangible loss, loss of profit, audience, reputation or opportunity; and (b) our total liability to you arising out of or in connection with this Agreement, for all causes combined, other than our obligation to pay Commissions that are due, is limited to the Commissions paid or payable to you in the twelve (12) months before the event giving rise to liability.
20.6 Limits of the limitation. Nothing in this Agreement excludes or limits our liability for fraud or fraudulent misrepresentation, wilful misconduct or gross negligence (to the extent the law prohibits such exclusion), death or personal injury, or any liability or right that cannot lawfully be excluded or limited, including your mandatory rights under the law of your country.
20.7 No cap on your obligations. The limit in clause 20.5 protects us only. It does not apply to, and nothing in this Agreement limits, your own obligations and liability for your Creator Content, your intellectual-property warranties and the rights of third parties (clause 16), advertising compliance (clause 14), your declarations (clauses 3.8 and 13), your tax obligations (clause 12) and your indemnity (clause 20.3), subject to the last sentence of clause 20.3 and to mandatory law.
20.8 No penalty. Except clause 19.6, no clause is a liquidated-damages or penalty clause. Amounts under clause 19.6(d) are limited to losses we can document.
21. Personal data
21.1 Controller. Holding AMR LLC is the controller of the personal data of Creators that we process to run the Programme. Contact: contact@myedwin.com. EU representative (Article 27 GDPR): information being updated. UK representative (Article 27 UK GDPR): information being updated.
21.2 Information. Annex E contains the information required by Article 13 GDPR (and equivalent laws): purposes, legal bases, categories, recipients, transfers, retention, rights. It is given for information; it is not a condition of the contract that you consent to processing that is not needed for it.
21.3 Your data about others. You are an independent controller of the personal data of your own audience. You must not collect personal data of Customers or prospects in our name, or send us such data, unless a lawful basis exists. We do not give you the identity or contact details of Customers; the Statement shows only a pseudonymous reference.
21.4 Security. Each party applies appropriate technical and organisational measures. You keep your account credentials secret and tell us at once of unauthorised access. Tax forms and identifiers are uploaded to a secure area, stored with restricted access and are not kept in Edwin's memory or notes.
21.5 Newsletter. The creator newsletter is sent with your agreement; you may unsubscribe at any time, which does not affect the Agreement.
22. Confidentiality
22.1 Confidential Information means non-public information that we disclose to you, including early access to features, product plans, pricing not yet published, Customer data, Statements, security information, and our communications in the Programme, that is marked confidential or would reasonably be understood as confidential.
22.2 Your duties. You will use Confidential Information only for the Programme, keep it secret with at least reasonable care, disclose it only to advisers bound by confidentiality, and respect any embargo date we give you. You may disclose your participation in the Programme (you must do so under clause 14), the Rates and duration published on our website, and information required by law or an authority (after telling us when lawful).
22.3 Exceptions. Information is not confidential if it is or becomes public without your breach, you knew it before, you received it lawfully from a third party, or you develop it independently.
22.4 Duration. These duties last during the Agreement and for three (3) years afterwards (and, for Customer data and trade secrets, as long as the information remains confidential).
22.5 Our confidentiality. We keep your Registration Data and tax documents confidential, subject to clause 12.6, to sharing with our service providers and professional advisers, and to legal requirements.
23. Changes to this Agreement
23.1 Right to change. We may change this Agreement (including the Annexes, the Programme, the Rates, thresholds, the Fan Discount, the payout schedule, the Payout Threshold, the transfer fee and the content rules) for a valid reason, such as a change in law, in a platform or Payment Provider rule, in our costs or products, in our risk or security, or to correct an error or clarify a term.
23.2 Notice of 30 days. We give at least thirty (30) days' notice by e-mail to the address in your Registration Data and in your Creator account. The notice states the date from which the change applies. A change that the law or an authority requires to apply sooner, or that is favourable to you, may apply earlier.
23.3 Customers already attributed. A change that reduces the Rate, the duration of the Commission Window or the base on which the Commission is calculated does not apply, for Customers already attributed on the effective date, to Eligible Payments of those Customers received before the end of their Commission Window. A change to the Fan Discount applies only to new subscriptions.
23.4 No retroactivity. No change applies to Commissions already accrued or to Eligible Payments received before the effective date.
23.5 Your choices. If you do not accept a change, you may terminate the Agreement by notice before the effective date, without penalty and without losing accrued Commissions (clause 19.2 applies). If you continue to publish content about Edwin or use the Code after the effective date, you accept the change. For a change that is materially adverse to you, we may ask you to accept the new version again by ticking a new box (Annex F) and, where the change concerns a clause listed in clause 1 bis.2, the second box, in which case the change applies from the date you accept or, at the latest, the end of the notice period.
24. Assignment
24.1 You may not assign, transfer, subcontract or charge the Agreement, the Code, or your rights to payment without our prior written consent. Any attempt is void.
24.2 We may assign or transfer the Agreement, in whole or in part, to an affiliate or to a successor in a merger, sale of the business or of assets, or restructuring, by notice to you; the assignee takes our obligations. We may use subcontractors (including the Payment Provider).
24.3 If you are a company and you change control or the person who runs the accounts, you must notify us within fourteen (14) days; we may terminate under clause 19.3.
25. Governing law
25.1 This Agreement and any non-contractual obligation connected with it are governed by the laws of the State of Wyoming, United States of America, without regard to its conflict-of-laws rules, and excluding the United Nations Convention on Contracts for the International Sale of Goods.
25.2 This is subject to clause 27 (mandatory local rules) and to clause 25.3.
25.3 France. Where the Creator's activity targets the public established in France, the Agreement is governed by French law (Annex C, section C.2), including for the purposes of Article 8 of Law no. 2023-451 of 9 June 2023. Clauses 25.1 and 26 do not apply to such a Creator, and the jurisdiction rules in Annex C, section C.2 apply instead.
26. Dispute resolution and jurisdiction
26.1 Notice and discussion. Before starting proceedings, a party sends a written notice to the other describing the dispute and tries in good faith to settle it for thirty (30) days. This does not prevent urgent measures.
26.2 Business Creators. If you are a Business Creator, any dispute that is not settled under clause 26.1 is finally resolved by arbitration under the International Arbitration Rules of the International Centre for Dispute Resolution (ICDR), applying its expedited procedures where available. One arbitrator; seat: Sheridan, Wyoming, USA; language: English; hearings by video unless the arbitrator decides otherwise; documents only for claims of up to USD 25,000 unless the arbitrator decides a hearing is necessary; each party bears its own costs unless the arbitrator decides otherwise. The award is final and may be entered in any competent court. Neither party may bring class or collective claims. Either party may apply to a court for urgent interim relief, and for the protection of intellectual property and confidential information.
26.3 Other Creators. If you are not a Business Creator: (a) you may bring a claim against us either before the state or federal courts located in Wyoming (Sheridan County or the District of Wyoming) or before the courts of the country where you habitually reside; (b) we will bring a claim against you only before the courts of the country where you habitually reside, unless the law allows us to sue elsewhere and you have not objected; (c) you are not bound by an obligation to arbitrate.
26.4 Jury waiver. To the extent the law permits, and only for claims before a Wyoming court brought by or against a Business Creator, the parties waive trial by jury.
26.5 Consumer dispute bodies. Where the law of your country of residence gives you the right to use a consumer mediation or alternative dispute-resolution body, nothing in this clause prevents you from doing so.
26.6 Enforcement. We may enforce arbitral awards and judgments in any country where the other party has assets.
27. Mandatory local law and country terms
27.1 If you are a consumer or are treated as a non-professional under the law of your country of residence, nothing in this Agreement deprives you of the mandatory provisions of that law that cannot be excluded by contract, and any term of this Agreement that is invalid under that law is replaced by the nearest valid term; the rest of the Agreement continues.
27.2 Annex C contains country terms for Creators targeting or established in the countries listed (including France). In case of conflict, the country terms prevail for you.
27.3 Quebec. If you reside in Quebec, a French version of this Agreement is made available before acceptance and is the version you are shown first and it prevails (clause 28.5); you may rely on it .
27.4 Agency and sales-representation laws. If a mandatory rule of the country where you work applies to you, only that rule applies to the matter it covers.
28. General provisions
28.1 Entire agreement. The Agreement is the whole agreement on the Programme and replaces earlier terms and discussions, except any separate written agreement signed by us.
28.2 Notices. We give notice to the e-mail address in your Registration Data and in your Creator account; it is received when sent unless we receive a bounce message. You give notice to contact@myedwin.com or through your Creator account. Each party keeps its contact data up to date.
28.3 Public page. The creator page on myedwin.com does not form part of the Agreement. In case of conflict this Agreement prevails.
28.4 Severability. If a provision is invalid or unenforceable, the rest is unaffected and the provision is replaced by a valid one with the nearest effect.
28.5 Language. This Agreement is published in the language of each country served. (a) The version written in the language of your country (the country of the site version from which you register or which you consult) prevails over any other version, which is provided for information only. (b) For the United States, the United Kingdom and Canada outside Quebec, the English version prevails. (c) In Quebec, the French version prevails and is given to you first. (d) If you are established in a European country and you read the English version, you may rely on the version in the language of your country, which prevails. (e) If you chose another language in the language selector of the site, the version you accepted at registration is the one recorded as accepted (clause 1.2), without prejudice to paragraphs (a) to (d) and to the mandatory law of your country.
28.6 Force majeure. A party is not liable for delay or failure caused by events beyond its reasonable control, except for payment obligations already due.
28.7 No waiver. A delay or failure to enforce a right does not waive it.
28.8 Third parties. Only the parties have rights under the Agreement, without prejudice to the rights of third parties under clause 20.2.
28.9 Survival. Clauses that by their nature continue after the end of the Agreement survive.
28.10 Interpretation. Headings are for convenience. "Including" means "including without limitation". References to law include the law as amended.
End of Agreement. Annexes follow.

Fan Discount: 20% off the first month, new Customers, first Base Subscription only. Payout Threshold: EUR 50. Transfer fee: EUR 1, free from EUR 100. Maturity: 30 days. Reversal period: 180 days. Payout: monthly after manual review. A Customer who cancels and re-subscribes brings no further Commission.
The current plans and prices are on the "Pricing" page of myedwin.com. The examples below use round, illustrative figures that are not real prices: a plan at EUR 100 per month and a plan at EUR 200 per month, excluding taxes.
A.2 Examples (illustrations, not promises)
Example 1: one Customer on a EUR 100 plan over twelve months (Creator tier, 20%). Month 1: price EUR 100 less Fan Discount 20% = EUR 80; Commission 20% = EUR 16. Months 2 to 12: EUR 100 x 20% = EUR 20 per month, i.e. EUR 220 over eleven months. Total over the Commission Window: EUR 236. From month 13 the Customer is outside the Commission Window: no Commission, and the Customer no longer counts towards the tier.
Example 2: monthly income at each tier (full price, after the first month).
| Customers | Plan | Tier | Calculation | Commission per month |
|---|---|---|---|---|
| 10 | EUR 100 | Creator 20% | 10 x EUR 100 x 20% | EUR 200 |
| 50 | EUR 200 | Partner 25% | 50 x EUR 200 x 25% | EUR 2,500 |
| 100 | EUR 200 | Ambassador 30% | 100 x EUR 200 x 30% | EUR 6,000 |
These figures assume that all Customers stay in their Commission Window and pay the full price. They are not a forecast.
Example 3: when a higher Rate applies. On 31 January you have 50 Active Paying Customers. The Partner Rate of 25% applies to Eligible Payments received during February. Payments received in January stay at 20%. On 28 February you have 49: the Creator Rate (20%) applies to Eligible Payments received in March. The Commissions of February are not reduced.
Example 4: top-up. A Customer on the EUR 200 plan pays EUR 200 and EUR 30 for a top-up. Commission base: EUR 200 only.
Example 5: refund and clawback. A Customer pays EUR 100 on 5 March; you earn EUR 20 (20%). The Customer is refunded on 20 March: the Commission is cancelled before maturity. If the Customer had been refunded on 10 May, after you were paid, EUR 20 is deducted from your next Payable Balance (clause 10.3).
Example 6: timeline, threshold and transfer fee. Payment received 5 March, Matured 4 April, included in the April Statement, manual review, then paid by 15 May if the Payable Balance is at least EUR 50 (otherwise carried over). With a Payable Balance of EUR 60 you receive EUR 59 (EUR 1 transfer fee). With a Payable Balance of EUR 120 you receive EUR 120.
Example 7: currency. A Customer pays GBP 90: Commission at 20% = GBP 18. At an illustrative rate of 1 GBP = EUR 1.15, the payout amount is EUR 20.70 before bank fees.
Example 8: you subscribe with your own Code. A subscriber who uses your Code and has the same payer identity, e-mail alias or payment card as you: the Code is refused or the subscription is attributed without Commission (clause 6.2). If the subscription was deliberately made to obtain the Commission, it is Fraud (clause 19.4).
Example 9: cancellation and re-subscription. A Customer pays months 1 to 4, cancels, and re-subscribes in month 8 (with or without your Code). You earn the Commission on months 1 to 4 only. No Commission is due on payments after the re-subscription, the window does not restart, and the Customer no longer counts for your tier.

UK.CC1 Advertising in the United Kingdom. If your content is aimed at the United Kingdom, you must label every item that presents Edwin or shows your Code clearly as advertising. Use "Ad" or "Advert" or "Advertisement" at the very start of the post, caption or video (spoken and on screen), before any "see more" prompt and, for video, on the thumbnail or title where possible. Do not rely on "Gifted", "Sponsored", "Supported by", "In association with", "Affiliate", "#sp" or "#collab". Use the platform's paid-partnership tool as well. You must follow the CAP Code and the guidance of the Advertising Standards Authority and the Competition and Markets Authority. Clause 14 and Annex C apply to you in full.
UK.CC2 Marketing messages. You must not send any marketing message in the name of Edwin or about Edwin in breach of the Privacy and Electronic Communications (EC Directive) Regulations 2003 or the UK GDPR, including to sole traders and individual subscribers without their consent.
UK.CC3 Moral and performers' rights. For the uses licensed in clause 16.4, you consent in writing to the technical edits listed there (cropping, subtitling, translation, resizing) and, to the extent English law allows, waive your right to object to them. We credit you by your handle where the platform allows it. Nothing in this clause lets us distort your content or use it in a way that harms your honour or reputation (clause 16.5).
UK.CC4 Reasonableness. Clauses 20.5 and 20.6 are subject to the Unfair Contract Terms Act 1977 where it applies. Nothing in clause 20 limits our liability for death or personal injury caused by negligence, for fraud or for any liability that cannot be limited by law. We do not limit our obligation to pay Commissions that are due.
UK.CC5 Tax and payment for UK Creators. A Creator who is a UK tax resident gives us Form W-8BEN (individual) or W-8BEN-E (entity) before the first payout and, if a treaty benefit is claimed, the foreign tax identifying number requested on the form. A Business Creator registered for VAT shows on its invoice the VAT treatment that applies to a supply of services to a customer outside the United Kingdom. Payout currency: pounds sterling is available (clause 11.1). You alone are responsible for your Self Assessment, National Insurance and VAT obligations.
Controller / representative: UK representative information being updated. Transfers: International Data Transfer Addendum or Agreement (see Privacy Policy, Section UK.PC4). Complaint: ICO, ico.org.uk. Rights: the UK GDPR rights in Privacy Policy, Section UK.PC3.

You are eligible under clause 3.2 bis if you live in the United Kingdom (individual) or if your registered office or principal place of business is there (company). The English version of this Agreement prevails for you (clause 28.5). By ticking the second box (clause 1 bis) you confirm that the clauses listed in clause 1 bis.2, including the limits in clauses 20.5 to 20.7 and the tax and sanctions clauses (12 and 13), were drawn to your attention and that you have had the opportunity to take advice. Clauses 20.5 and 20.6 remain subject to the Unfair Contract Terms Act 1977 where it applies (Section UK.CC4).
