Section 2. Purpose, acceptance and effective date
2.1 Purpose. These Terms set the rules for the sale and use of the Service between the Publisher and the User.
2.2 Acceptance. The User accepts these Terms by ticking the box provided at sign-up, which is not ticked by default, and then confirming its order. Acceptance is an electronic signature, and the User consents to conclude the contract electronically. The User then ticks a second box, separate and not ticked by default, to approve expressly certain clauses (Section 2 bis). The Publisher keeps a record of acceptance and of approval, for each of the two boxes: date and time, version of the Terms (2026-10-12-v3.1), Account identifier and IP address.
2.3 Formation of the contract. The contract is formed when the User has accepted these Terms, has ticked the second box (Section 2 bis) and Paddle has confirmed the first payment. The Publisher may refuse a sign-up for a legitimate reason (country not served, invalid business number, suspected fraud, sanctions risk).
2.4 Who accepts. If the User is a company, the person accepting states that they have authority to bind it.
2.5 Storage. The User may download and print the accepted Terms. The Publisher emails a copy to the User and makes earlier versions available on request.
2.6 Waitlist. Joining the waitlist opens no Account and creates no obligation on either side.
2.7 Term. The contract is concluded for the current Period and renews automatically each month until it is cancelled under Section 11 or ended under Section 22.
Section 2 bis. Specific approval of certain clauses
2 bis.1 Second tick box. When the User goes online to pay and to validate the Subscription, the app shows a second tick box, separate from the acceptance box in Section 2.2 and not ticked by default. By ticking it, the User expressly approves the clauses listed in Section 2 bis.2. The Service opens only once this second box has been ticked.
2 bis.2 Clauses concerned. The User expressly approves the following clauses, which it has read: - a) Section 16 (in particular 16.4 Bugs and updates, 16.6 Limitation and 16.7 Limits of the exclusion): limitation of liability and exclusions; - b) Clauses 7.12 and 16.8 (Indemnity): the warranty and indemnity given by the User; - c) Section 12 (Price revision); - d) Section 24 (Changes to these Terms); - e) Section 22 (Suspension and termination by the Publisher); - f) Clauses 11.2 (No right of withdrawal), 11.5 (Month started) and 13.3 (No refund): no right of withdrawal and a month that has started is due; - g) Sections 29 (Governing law) and 30 (Dispute resolution and jurisdiction), and any arbitration clause of the Country Annex; - h) Section 28 (Language and prevailing version).
2 bis.3 Record. The approval is time-stamped and kept with the version of the Terms (2026-10-12-v3.1), the Account identifier and the IP address, in the same way as acceptance (Section 2.2).
2 bis.4 Country Annex. A Country Annex may adapt the list in Section 2 bis.2 to local law, add the legal reference that local law requires or add a clause. Ticking the second box does not deprive the User of any mandatory right of its country.
Section 3. Business use only
3.1 No consumers. The Service is intended exclusively for Professionals, for the purposes of their business. It is not offered to consumers.
3.2 Declarations at sign-up. To sign up, the User: - enters its business registration number (the SIRET in France, or the equivalent in its country); - ticks the box "I am a professional acting for my business".
3.3 Accuracy. The User warrants that these declarations are accurate. It tells the Publisher without delay if its business ceases or changes. The Publisher may ask for proof of registration (for example a Kbis extract or its local equivalent).
3.4 Mixed use. The User uses the Service for business purposes only. If it has a mixed use, the business use must clearly predominate. The User may not use the Service privately and then claim consumer status for the sole purpose of escaping these Terms, without prejudice to any mandatory rules from which it would still benefit by law.
3.5 False declaration. An inaccurate declaration is a serious breach. The Publisher may suspend or terminate the Account under Section 22.
3.6 Sanctions. The Publisher is a United States company subject to economic sanctions laws. The User represents that it is not established or resident in a comprehensively embargoed territory, and that neither it nor any owner or director who controls it is on a sanctions list of the United States, the European Union, the United Kingdom or the United Nations. The Service is not offered in territories that Paddle does not support or that are subject to an embargo.
Section 4. Account and access
4.1 Creation. The User creates an Account with accurate and complete information and keeps it up to date.
4.2 One User, one Account. Each plan includes one user and one Edwin number, as shown on the Pricing page. The User does not share the Account, assign it or run it as a service for third parties.
4.3 Credentials. The User keeps its credentials secret. It is responsible for every action taken with its Account unless it proves a fault of the Publisher. It tells the Publisher without delay of any unauthorised access.
4.4 Connected accounts. The User confirms that it is entitled to connect each mailbox, calendar or account that it links to the Service. It may disconnect them at any time from its settings. Disconnecting deletes the stored tokens and app passwords.
4.5 Team members. If the User gives other people (employees, collaborators) access to the Service, it is responsible for them. Such access is limited to the number of users included in its plan.
4.6 Deletion. The User may delete its Account and all its data from its settings (Section 20).
Section 5. The Service and its Channels
5.1 What Edwin does. Edwin is a digital assistant powered by artificial intelligence, for independent professionals and small businesses. It acts within the permissions and instructions of the User. The functions below are those of the Service at the date of these Terms. Their availability depends on the country (Section 15).
5.2 Email. Edwin reads the mailboxes that the User connects, sorts messages, flags what needs attention and prepares draft replies. Edwin sends no email from the User's mailbox without the User's approval of the complete message. Edwin does not send commercial prospecting.
5.3 Calendar. Edwin reads the User's calendar and proposes free slots. It does not create, move or cancel an appointment without the User's confirmation, unless the User has chosen otherwise for a given task.
5.4 Contacts. Edwin looks up the User's contacts, read-only, to find a number or an address.
5.5 Quotes. Edwin prepares quotes from the information the User provides and the prices the User has given it. The quote is submitted to the User for approval before it is sent (Section 9).
5.6 Payment links. Edwin can prepare a payment link to the User's own account with a payment provider (for example Stripe, PayPal or Paddle, as the case may be). The provider collects the payment. Edwin never receives card numbers (Section 9).
5.7 Orders. Edwin can record orders that the User's Customers place by message and present them to the User for confirmation (Section 9).
5.8 WhatsApp. Where the User connects WhatsApp, Edwin automatically replies, in the User's name, to messages that the User's customers send. It proposes free slots only. The title, place and participants of appointments are never shared.
5.9 Incoming calls. Edwin answers calls received on the dedicated number opened for the User and sends the User a summary (Section 8).
5.10 Appointment listening. From the app, the User can ask Edwin to listen to an appointment to produce a report and a quote. The audio is never kept (Section 8).
5.11 Notifications. Edwin may send the User notifications, summaries and daily briefings, according to its settings.
5.12 Outbound calls and SMS. At the date of these Terms, Edwin makes no outbound calls and sends no outbound SMS. SMS is announced as "coming later". When such a function opens, it will be charged only from its actual availability, and additional terms notified to the User will apply.
5.13 Languages. Edwin works in ten languages. Quality of understanding, transcription and translation can vary between languages and accents.
5.14 Evolution. The Publisher develops the Service. It may add, change or withdraw functions under Sections 15 and 24.
Section 6. Transparency about artificial intelligence
6.1 Edwin is an AI. Edwin is an artificial-intelligence system. It is not a person. It is not a professional adviser.
6.2 Edwin identifies itself as an AI. Edwin tells people it communicates with on the User's behalf (callers, customers writing on WhatsApp, participants in a listened appointment) that it is an artificial intelligence. The User must not configure or use Edwin to hide that fact, or to deny it when asked.
6.3 Calls: notice to the caller. At the start of each incoming call, Edwin tells the caller that they are speaking to an artificial intelligence and that the call is transcribed, in the caller's language where supported. The User does not disable this notice.
6.4 Possible errors. AI output may be inaccurate, incomplete, misheard (transcription, translation) or out of date. Section 16 draws the consequences.
6.5 Human control. The User stays in control. It can review what Edwin prepares, correct it, refuse it, switch off a Channel or an automation, and take over a conversation at any time.
6.6 No autonomous decisions. Edwin has no authority of its own (Section 16.1). It takes no legal decision on behalf of the Publisher. It commits the User only within the settings the User has set.
6.7 Model training. The Publisher does not use User Content or the Memory to train artificial-intelligence models.
6.8 Generated content. If the User publishes or distributes content produced with Edwin, it complies with the transparency obligations that the law places on it for such content.
Section 7. The User's obligations and responsibilities
7.1 Principle. The User uses the Service in accordance with the law, these Terms and the rules of the Third-Party Services it connects. It is solely responsible for its professional activity.
7.2 Informing third parties. The User is the controller of the data of its customers and contacts (Section 18). It therefore informs the people whose data Edwin processes, as the law requires: customers, prospects, correspondents, people who call or write to it, participants in an appointment. The information states, among other things, that an assistant powered by artificial intelligence answers or takes notes, and that service providers are involved. The User keeps its own privacy notice up to date. The Publisher may on request provide material to help, which does not replace the User's obligation.
7.3 Content. The User is solely responsible for User Content, its instructions and its settings. It warrants that it has the right to use them and to entrust them to the Publisher, and that they infringe no third-party right and no law. The Publisher does not monitor content, but may act if it is told of unlawful content (Section 22).
7.4 Compliance of its business. The User complies with the rules applicable to its profession and sector: licences, qualifications and insurance, advertising and marketing rules, tax, accounting and employment rules, and the rules of any regulated profession. Edwin does not replace them.
7.5 Its own terms of sale. The User is solely responsible for its own terms of sale and for the compliance of its offers, quotes, prices, invoices and pre-contract information with applicable law, including when it sells to consumers (information, withdrawal rights, statutory guarantees, mandatory notices, VAT). Edwin does not check these items (Section 9).
7.6 Checking. Before anything is sent or committed, the User checks the emails, quotes, amounts, dates, contact details and commitments that Edwin proposes (Section 16.3).
7.7 No cold outreach. The User does not use Edwin for cold outreach, or to send promotional or bulk messages without the consent or lawful basis that the law requires (for example, in the European Union, the ePrivacy Directive and national laws implementing it; in the United Kingdom, PECR; in the United States, the laws on calls and text messages; in Canada, the anti-spam law). It does not use Edwin to harass or deceive anyone.
7.8 Prohibited uses. The User does not use the Service: - to produce or transmit unlawful, fraudulent, deceptive, threatening, hateful, discriminatory or sexually explicit content; - to impersonate anyone; - to access another user's data, or to probe, overload or bypass the security or Usage Limits; - to resell the Service, make it available to third parties or build a competing product from it; - to circumvent a rule of a Third-Party Service it connects; - in any way that harms the Service, other users or third parties.
7.9 Sensitive data. The Service is not designed or certified to host patient health records under specific health-data hosting rules (in France, certified health-data hosting), nor to process on a systematic basis special categories of data (GDPR Article 9) or data relating to criminal convictions. The User does not entrust such data to Edwin without the Publisher's prior written agreement.
7.10 High-risk use. Edwin is not an emergency service. The User does not use it where a missed call or an error could endanger anyone's life or safety (Section 8.6).
7.11 Security. The User protects the devices and accounts it links to Edwin, uses dedicated app passwords where the Service asks for them, and revokes them if it believes they are compromised.
7.12 Indemnity. The User indemnifies the Publisher under Section 16.8.
Section 8. Calls, appointments and messages: special rules
Incoming calls
8.1 Dedicated number. To provide an Edwin number, the Publisher opens the number with its telephone carrier in the name of the User's business. The User provides its business registration number (SIRET in France), its address, the name and email of its legal representative, and proof of registration dated within 3 months (in France, a Kbis extract; elsewhere, the equivalent document the carrier requires: commercial register extract, trade licence or tax certificate) and, where the carrier requires it, proof of the business address in the country of the number. The User warrants that these documents are genuine and current. It authorises the Publisher to carry out these steps in its name with the carrier and, where needed, with the authorities.
8.2 Suspension or withdrawal of the number. No number can be opened without a valid business registration number and valid supporting documents; the carrier alone decides whether to accept or refuse the documents, and the Publisher does not guarantee that a number will be obtained or by when. The other features of the Service remain available in the meantime.
8.2 bis Refusal to open the number. (a) If the number is refused or cannot be opened because of the User (documents or information that are insufficient, inaccurate, out of date, not original, altered or forged, or that do not meet the carrier's requirements), the month already started remains due and is not refunded, and the User remains free to cancel under Section 11. (b) If the number cannot be opened for a reason that is not attributable to the User, despite authentic, complete and compliant documents, the User may ask to close its account and be refunded for the current month, provided its use of the Service in that period is below 10% of each of the limits of its plan (voice, messages, connected accounts, meeting listening). Above that level the month remains due. (c) The request is sent to contact@myedwin.com within 30 days of notice of the refusal; the Publisher checks usage in its records and the refund is made through Paddle. (d) Submitting false, altered or forged documents is a serious breach: the Publisher may suspend or terminate the account immediately without refund and report the facts to the carrier and the competent authorities. The number may be suspended or withdrawn if the information is inaccurate or out of date, or if regulation or the carrier requires it. The User tells the Publisher without delay of any change (end of activity, new address, new representative). When the Service ends, the Publisher does not guarantee that the number can be kept or ported to another provider.
8.3 Transcription and notices. Edwin transcribes incoming calls. The audio is not kept. The transcript and summary follow the rules of Section 19. Edwin informs the caller at the start of the call (Section 6.3). The User remains responsible for any information it must itself give its callers under the law of its country, including about recording or transcription of calls.
Appointment listening
8.4 Information and agreement of participants. The User is solely responsible for informing the people present that the appointment is being listened to by an artificial intelligence, and for obtaining their agreement where the law requires it, before starting the listening. In every case, it does not listen to any conversation without the participants' knowledge. It stops if anyone objects. It does not use the function in places or situations where the law or a duty of confidentiality forbids it. The audio is never kept: only reports are retained.
Messages and email
8.5 WhatsApp and email. Edwin's automatic replies respond to messages received. The User does not use them for promotional or bulk sending. It complies with the terms of WhatsApp (Meta) and of the mail services it connects. Meta or a mail service may restrict or cut access, without liability for the Publisher (Section 15).
Safety
8.6 Not an emergency service. Edwin does not replace an emergency number. It is not designed to receive or handle emergency calls.
Section 9. Catalogue, quotes, orders and the User's payments
9.1 Edwin is not the seller. When the User sells goods or services to its customers, the User is the seller. The Publisher and Edwin are not a seller, intermediary, agent or party to the User's contracts with its customers. The Publisher is not responsible for the sale, delivery, quality or conformity of the User's products and services.
9.2 The User's terms of sale. The User imports its own terms of sale and its own information into the Service. It remains solely responsible for them. The Publisher does not review them and gives no opinion on their validity.
9.3 Quotes. A quote prepared by Edwin is a draft. It becomes the User's act when the User sends it. The User checks the content, prices, VAT, mandatory notices and conditions before sending.
9.4 Orders. Orders recorded by Edwin from messages must be confirmed by the User before they are treated as accepted.
9.5 Payments. A payment link leads to the payment provider chosen by the User, under that provider's own terms. Funds are paid to the User by that provider. The Publisher does not collect, hold or transmit any money on the User's behalf, and never receives card numbers. The Publisher is not responsible for failed, delayed, disputed or refunded payments, which are matters for the provider and the User.
Section 10. Price, payment and taxes
10.1 Price. Plans, prices, Top-Ups, Options and Usage Limits are shown on the Pricing page of the Site, which prevails at the date of subscription or purchase. They are not reproduced in these Terms. Displayed prices exclude taxes, in the currency offered for the User's country.
10.2 Mandatory subscription. Access to the Service requires a paid Subscription. There is no free trial, free demonstration or free plan, unless the Publisher expressly announces one.
10.3 Monthly billing in advance. The Subscription is billed monthly, in advance, at the start of each Period.
10.4 Paddle, seller of record. Payment is processed by Paddle, the reseller and merchant of record, under its buyer terms, which the User accepts at checkout. Paddle issues the invoice, collects the price and handles taxes. Invoice and refund requests are handled through Paddle. For anything concerning payment, invoicing, taxes and refunds, Paddle's buyer terms apply in addition to these Terms. For the use of the Service, these Terms apply.
10.5 Taxes. Paddle calculates, collects and remits VAT and applicable sales taxes, based on the billing information given by the User. The User gives accurate information (country, VAT number if any). Any right of a business buyer to reclaim tax is governed by Paddle's buyer terms.
10.6 Failed payment. If a payment fails, Paddle may retry it. If the User does not put it right after being informed, the Publisher may suspend access until payment (Section 22.1).
10.7 Payment disputes. The User first contacts the Publisher or Paddle before disputing a payment with its bank. Where fraud is suspected, the Publisher may suspend access.
Section 11. Term, no withdrawal right and cancellation by the User
11.1 Professionals only. The Service is intended exclusively for professionals acting for the purposes of their trade, business, craft or profession.
11.2 No right of withdrawal. No right of withdrawal applies.
11.3 Monthly subscription, no commitment. The Subscription is billed monthly in advance, with no commitment.
11.4 Cancellation at any time. The User may cancel at any time from its Account. Cancellation takes effect at the end of the current monthly period. No further charge is made after that.
11.5 Month started. A month that has started is due and is not refunded, except where mandatory law provides otherwise or where Paddle's buyer terms provide a refund because the Publisher was technically unable to supply the Service.
11.6 Payment by Paddle. Payment is processed by Paddle, the Merchant of Record, under its buyer terms. Invoice and refund requests are handled through Paddle.
11.7 Access after cancellation. The User keeps access to the Service until the end of the paid Period. It may export its data during that time and during the period in Section 20.
11.8 Changing plan. The User may move to a higher or lower plan on the terms shown on the Pricing page.
Section 12. Price revision
12.1 Principle. Prices may be revised if the Publisher's costs change significantly, in particular the rates charged by its artificial-intelligence model, voice, transcription, telephony, hosting or payment providers, or applicable taxes. The Publisher passes such changes on upward or downward.
12.2 Notice. Any change to prices or plan limits is notified to the User by email and in the app at least 30 days before it takes effect and applies from the first monthly renewal after that period, never to periods already paid.
12.3 User's choice. The User may cancel at any time before that date at no charge. Continued use after that date constitutes acceptance.
12.4 Taxes imposed by law. A tax change imposed by law applies from its effective date.
12.5 Usage Limits. Usage Limits may be adjusted on the same notice.
Section 13. Top-Ups and Options
13.1 See the Pricing page. The Top-Ups and Options available, their prices and their conditions (validity period, use) are shown on the Pricing page. information being updated
13.2 Express purchase. A Top-Up or Option is sold only if the User orders it. It is paid at purchase, through Paddle (Section 10).
13.3 No refund. A Top-Up or Option that has been credited or activated is not refunded, except where mandatory law provides otherwise or where Paddle's buyer terms provide a refund because the Publisher was technically unable to supply the Service.
13.4 Announced Options. An Option shown as "planned" or "coming later" is not for sale and is never charged before it is available. It may change or never be offered.
13.5 On cancellation. Unused Top-Ups and Options end with the Subscription, unless the Pricing page says otherwise.
Section 14. Usage Limits
14.1 Included volumes. Each plan includes monthly or daily volumes, shown on the Pricing page: for example voice, appointment listening, written messages, WhatsApp messages, prepared emails, connected accounts and daily briefings. These volumes are the Usage Limits.
14.2 Normal use. The Service is designed for normal professional use. The Publisher may limit or block manifestly abusive, automated or abnormal use that threatens the quality or security of the Service, after a warning except in an emergency.
14.3 Limit reached. When a Usage Limit is reached, the function concerned may be reduced or interrupted until the next Period, or until a Top-Up or Option is bought where one exists, or until the plan is changed. Unused voice time may be carried over under the rules of the Pricing page. When voice is used up, Edwin may keep working in writing within the other Usage Limits.
14.4 No automatic charge. Exceeding a Usage Limit is not charged automatically.
14.5 Changes. Usage Limits may be changed under Section 12.
Section 15. Availability by country and Third-Party Services
15.1 Countries. The Service is offered in the countries listed on the Availability by country page. Not every function is available in every country. Telephone opens country by country under local rules. A function shown as "soon" is not available in that country.
15.2 No charge for what is unavailable. The Publisher does not charge for a function that is not available in the User's country. It commits to no opening date until one is confirmed.
15.3 Withdrawal of a function. The Publisher may withdraw or limit a function in a country if the law, an authority, a carrier or a Third-Party Service requires it or if keeping it becomes impossible. It informs the User as soon as it can. If the withdrawn function is a main function that the User was using, the User may cancel with immediate effect and obtain a pro rata refund of the unused part of the paid Period.
15.4 Third-Party Services. The Service depends on Third-Party Services (for example Google, Microsoft, Apple, Meta for WhatsApp, telephone carriers, Paddle and other payment providers, artificial-intelligence, voice and transcription providers, hosts). They are subject to their own terms, which the User complies with. Their failures, rule changes or refusals of access may affect the Service. The Publisher is not responsible for them (Section 16.4).
15.5 Google. The Publisher's use of information received from Google APIs complies with the Google API Services User Data Policy, including its Limited Use requirements.
Section 16. Nature of the Service and responsibility
16.1 A software tool. Edwin is software assisted by artificial intelligence, made available to the User as a work tool. Edwin has no authority of its own: it is not an agent, adviser, employee or representative of the User or of the Publisher, and it never binds the Publisher. It acts only within the settings and instructions given by the User.
16.2 The User decides and validates. The User remains in control of its business and solely responsible for its decisions. Emails, quotes, prices, payment links, appointments and other documents prepared by Edwin are submitted to the User for approval before being sent or committed where the Service so provides; whatever the User approves, sends, signs or lets go out is the User's act. For channels the User chooses to automate (telephone answering, WhatsApp), the User sets the scope through its settings, supervises them and remains responsible. Edwin offers the User a review (summary, draft, report); the User undertakes to consult it regularly. The absence, delay or omission of a review offer does not transfer responsibility to the Publisher, without prejudice to Section 16.7.
16.3 Edwin can make mistakes. AI output may be inaccurate, incomplete, misheard (transcription, translation) or out of date. It is not legal, tax, accounting, medical or financial advice. The User checks quotes, amounts, dates, contact details and commitments before relying on them.
16.4 Bugs and updates. The Service is provided "as is" and "as available". The Publisher will use reasonable efforts to correct, within a reasonable time, defects reported by the User, and evolves the Service through updates that may change or remove features. No uninterrupted or error-free operation is warranted and no service level is promised unless expressly agreed in writing. To the extent permitted by law, the Publisher disclaims all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement; this does not affect any right that cannot be excluded by law. The Publisher is not responsible for outages or defects of third-party services (carriers, mail providers, calendars, payment platforms, hosts).
16.5 Safe use. The User must not use the Service while driving or in any situation requiring its attention. Notifications Edwin sends to the User (and, once such a function opens, calls) require no immediate response; the User alone decides whether and when to read or answer them and remains solely responsible for compliance with applicable traffic and safety rules.
16.6 Limitation. To the maximum extent permitted by law, the Publisher is not liable for indirect or intangible loss (loss of revenue, profit, customers, opportunity, reputation or data, replacement costs), and its total liability, for all causes combined, is limited to the amount, excluding taxes, paid by the User for the subscription in the 12 months preceding the event giving rise to liability.
16.7 Limits of the exclusion. Nothing in these terms excludes or limits the Publisher's liability for fraud or fraudulent misrepresentation, wilful misconduct or gross negligence, death or personal injury, or any liability that cannot lawfully be excluded or limited. The rights to compensation that individuals have under data protection law are not affected.
16.8 Indemnity. The User shall indemnify the Publisher against third-party claims, including from the User's own customers, arising from content the User approves or sends, the User's settings and instructions, or use of the Service in breach of these terms or the law, including reasonable defence costs. The indemnity does not cover the part of a claim that results from a breach by the Publisher. The Publisher notifies the User of the claim within a reasonable time, lets the User conduct the defence if it wishes, and cooperates at the User's reasonable expense. The User does not settle in a way that binds the Publisher without the Publisher's consent.
Section 17. Intellectual property and licence to use
17.1 Publisher's property. The Service, its software, interfaces, texts, the name "Edwin", the trade name "My Edwin" and its logos belong to the Publisher or its licensors. No right is transferred to the User, other than the licence below.
17.2 Licence to use. During the Subscription, the Publisher grants the User a personal, non-exclusive, non-transferable, non-sublicensable, worldwide right (in the countries where the Service is available) to use the Service for its business. The User does not copy the Service, extract its code, modify it or decompile it, except to the extent that the law allows despite any contrary provision.
17.3 User Content. The User keeps its rights in User Content. It grants the Publisher, for the term of the Subscription and for the performance of obligations that follow the end of the contract, a non-exclusive, worldwide, royalty-free licence, limited to what is needed to provide, secure and maintain the Service, comply with the law and defend its rights, including through its subprocessors.
17.4 Output. To the extent the Publisher holds any rights in the texts, quotes and other output that Edwin produces for the User, it grants the User the free use of them for its business. The Publisher does not warrant that such output is protectable, original or free of third-party rights. The User checks it before use.
17.5 Technical data. The Publisher may compile aggregated, anonymous usage statistics to operate, secure and improve the Service. They do not identify the User or its customers.
17.6 Feedback. If the User makes suggestions about the Service, the Publisher may use them freely and without payment.
Section 18. Personal data
18.1 Two roles. The Publisher processes personal data in two ways: - as controller for the User's own data (account, billing, security, contractual relationship); - as processor for the User for Customer Data, that is, the data of the User's customers and contacts that the Service processes on the User's behalf.
18.2 Privacy Policy. The Publisher's processing of the User's data as controller is described in the Privacy Policy, which also lists the Publisher's providers and data transfers. It is available on the Site.
18.3 Processing on the User's behalf (GDPR and UK GDPR Article 28). For Customer Data, the User is the controller and the Publisher is its processor. The following terms are the data processing agreement between them.
a) Subject matter and duration. The Publisher processes Customer Data to provide the Service described in these Terms, for the term of the Subscription and the return period in Section 20.
b) Nature and purpose. Receipt, reading, sorting, summarising, drafting, call and appointment transcription, calendar, contact, quote and order handling, automatic replies, storage in the Memory, security of the Service.
c) Types of data and data subjects. Identification and contact data, content of messages, transcribed calls and appointments, appointment, quote and order details, relating to the User's customers, prospects, suppliers and correspondents. The Service is not designed for sensitive data (Section 7.9).
d) Instructions. The Publisher processes Customer Data only on the User's documented instructions: these Terms, and the User's settings and requests in the Service. If it considers that an instruction infringes data protection law, it tells the User.
e) Confidentiality. Persons authorised to process Customer Data at the Publisher are bound by confidentiality.
f) Security. The Publisher implements technical and organisational measures appropriate to the risk, including encryption of the User's data with a key specific to each User, access control and logging. information being updated
g) Subprocessors. The User gives general authorisation for the Publisher to use the subprocessors listed in the Privacy Policy (hosting, telephony, voice, transcription, language model, messaging, payment and system email). The Publisher imposes equivalent obligations on them. It informs the User of any addition or replacement at least 30 days in advance, by email or in the app. The User may object on reasonable data protection grounds; failing agreement, it may cancel at no charge before the change takes effect.
h) Data subject rights. The Publisher assists the User, by appropriate measures, in responding to requests to exercise data subject rights. If an individual contacts the Publisher directly about Customer Data, the Publisher refers them to the User unless the law requires otherwise.
i) Assistance. The Publisher assists the User with security, data protection impact assessments and prior consultations, taking into account the nature of the processing and the information available to it.
j) Personal data breach. The Publisher notifies the User of any personal data breach affecting Customer Data without undue delay after becoming aware of it, with the information available to it.
k) End of processing. When the Service ends, the Publisher returns Customer Data to the User and then deletes it, under Section 20, unless the law requires retention.
l) Audit. The Publisher makes available the information needed to demonstrate compliance with these obligations. It allows reasonable audits, first on documents, then on site only if a document audit is not sufficient or an authority requires it, on reasonable notice, no more than once a year, at the User's cost, with respect for confidentiality and security.
m) User's obligations. The User warrants that it has a lawful basis to entrust Customer Data to the Publisher, that it has informed the data subjects (Section 7.2) and that its instructions are lawful.
18.4 Transfers outside the European Union. The Publisher is established in the United States. Where the User is established in the European Economic Area, the United Kingdom or Switzerland, transfers of data to the Publisher rely on the European Commission's standard contractual clauses (controller to processor module), supplemented for the United Kingdom by the UK international data transfer addendum and for Switzerland by the required adaptations, which are incorporated by reference. For transfers from the Publisher to subprocessors outside the European Economic Area, it relies on the EU-US Data Privacy Framework where the recipient is certified and, in parallel, on the standard contractual clauses. The Privacy Policy details these safeguards.
18.5 Representatives. The Publisher's representative in the European Union (GDPR Article 27): information being updated. Representative in the United Kingdom: information being updated.
18.6 Other laws. Where the law of another country requires specific processor terms (for example in California or Canada), they appear in the relevant Country Annex.
Section 19. Edwin's Memory and retention
19.1 What the Memory is. To do its job well, Edwin remembers what matters in the User's business: what happens in the emails it has handled, appointments, notes, orders, messages and calls. This Memory belongs to Edwin's own store. It is independent of what the User sees on screen. It is not a full copy of the User's mailbox, calendar or contacts, which Edwin consults when needed. It may contain extracts, summaries and information drawn from exchanges.
19.2 Action log. Edwin records what it does for the User: the request, the reply and the action (for example an appointment booked or an email sent). The exact text is kept for 30 days, then only a short summary is kept.
19.3 Drafts. Sent or deleted drafts are kept with their exact content for 30 days, then only the outline is kept. What the User deletes in the interface is first hidden; it is erased under this rule.
19.4 Audio. The audio of calls and appointments is never kept. Only text (transcripts, reports) is kept.
19.5 Forget request. The User may ask Edwin to forget an item of information: it is then erased from the Memory.
19.6 Account deletion. Deleting the Account erases the Memory and associated data, subject to what the law requires to be kept and to the technical delay for purging backups. information being updated
19.7 Dedicated key. The Memory and history are encrypted with a key specific to the User.
19.8 Publisher's records. The Publisher keeps proof of acceptance of the Terms and the data needed for its legal and accounting obligations and the defence of its rights, for the periods stated in the Privacy Policy.
Section 20. Data export and return
20.1 Right to export. The User may at any time request an export of the data it has entrusted to the Service and of the data that the Service has produced for it (Memory, conversations, drafts, quotes, orders, reports, notes and settings). The request is sent to contact@myedwin.com or, where it exists, through the app's export function.
20.2 Format and time. The Publisher provides the data in a structured, commonly used and machine-readable format, within a reasonable time not exceeding 30 days from the request. Reasonable requests are not charged.
20.3 Switching provider. For Users established in the European Union, a User wishing to switch provider or move its data back in-house may notify its request to the Publisher up to two months before the date it wants. The Publisher assists to the extent required by European data legislation.
20.4 Retrieval period. After the effective end of the Subscription, the data remain available for export for 30 days. After that, they are deleted (Section 19.6).
20.5 Limits. The export does not include what the Publisher does not hold, such as the original mailbox, calendar or contacts, which remain with the User's providers. It does not include the Publisher's trade secrets or code, or other users' data.
20.6 Deletion on request. The "delete account and all data" button in the settings erases the Account and data under Section 19.6.
Section 21. Confidentiality
21.1 Confidential information. Each party keeps confidential the non-public information of the other that it receives in connection with the contract and that is marked confidential or would reasonably be understood as confidential.
21.2 Use and access. It uses it only to perform the contract and discloses it only to people (employees, advisers, subcontractors) who need it and who are bound by an equivalent obligation.
21.3 Exceptions. Information is not confidential if it is or becomes public without fault of the receiving party, was already known to it, was lawfully received from a third party, or was independently developed.
21.4 Compelled disclosure. A party may disclose confidential information if the law or an authority requires it, after telling the other party where the law allows.
21.5 Duration. This obligation lasts during the contract and for three years after it ends. It lasts as long as necessary for trade secrets and for Customer Data, which are also protected by Section 18.
Section 22. Suspension and termination by the Publisher
22.1 Immediate suspension in limited cases. The Publisher may immediately suspend the Account, a function or a Channel, without notice, only in the following cases: a) proven or reasonably suspected fraud, or use of the Service for unlawful activity; b) serious breach of Section 3, 7.7 or 7.8, in particular prohibited outreach, impersonation, or hiding that Edwin is an AI; c) a false professional declaration or business number, or one not substantiated on request; d) a serious threat or risk to the security of the Service, other users or third parties; e) a requirement imposed by law, an authority, a telephone carrier or a Third-Party Service on which the Service depends; f) a risk of breach of sanctions laws; g) non-payment not put right after the User has been informed (Section 10.6).
22.2 Information. The Publisher informs the User of the suspension and its reason by email, unless the law or security prevents it. The User may reply and explain. The Publisher lifts the suspension once the cause has gone or if it was unfounded, and then corrects billing for the period concerned fairly.
22.3 Other breaches. For any other breach of these Terms by the User, the Publisher gives notice by email requiring the User to comply within 30 days. Failing that, the Publisher may suspend or terminate the contract.
22.4 Termination without cause. The Publisher may also terminate the contract without cause on 30 days' notice by email. If termination takes effect before the end of the paid Period, it refunds, through Paddle, the unused part of the paid Period.
22.5 Termination for serious breach. In case of serious or repeated breach, or where a cause listed in Section 22.1 is established and cannot be remedied, the Publisher may terminate the contract by reasoned email with immediate effect. No refund is due for the Period already paid, except where mandatory law provides otherwise.
22.6 Removal of content and reporting. The Publisher may remove or block manifestly unlawful content and report unlawful activity to the competent authorities.
22.7 Effects of the end of the contract. When the contract ends: access to the Service stops; the Edwin number may be closed (Section 8.2); the User may export its data (Section 20); sums due remain due; provisions that are meant to survive (Sections 16, 17, 18, 19, 20, 21, 29 and 30) continue.
Section 23. Creator programme and discount code
23.1 Separate programme. The Publisher runs a programme for content creators. It is governed by the Creator Agreement, published on the Site. Creators' remuneration terms are not part of these Terms and do not concern the User.
23.2 Discount code. An approved creator receives a unique code. A new User who enters an active code at checkout obtains the discount described on the Pricing page or in the Creator Agreement, on the first subscription only. The code cannot be combined with other discounts unless stated otherwise. The Publisher may refuse a code that is inactive, non-existent, or used in breach of the Creator Agreement (in particular a creator's use of their own code).
23.3 Creators are independent. A creator is not an employee, agent or representative of the Publisher. A creator has no authority to bind the Publisher, to change the prices or terms of the Service, or to make promises on the Publisher's behalf. Only these Terms, the Pricing page and the Availability by country page bind the Publisher as to the content of the Service. The User may not rely on a creator's statement that contradicts them.
23.4 Data. The Publisher does not give a creator the identity or contact details of the User. The creator receives only commission statements with a pseudonymous reference.
23.5 No effect on the User's contract. The attribution of a User to a creator gives the User no additional right as to the price, term or content of the Service.
Section 24. Changes to these Terms
24.1 Right to change. The Publisher may change these Terms for a legitimate reason: a change in law, in a Third-Party Service rule, in the Service or its costs, security, correction of an error or clarification.
24.2 30 days' notice. The Publisher notifies the change by email and in the app at least 30 days before it takes effect, stating the date. The notice may be shorter if the change is required by law, an authority or a Third-Party Service, or if it is neutral or favourable to the User.
24.3 Acceptance or cancellation. A User who does not accept the change may cancel before it takes effect, at no charge, under Section 11. Continued use after that date constitutes acceptance. For a materially adverse change, the Publisher may ask the User to tick the acceptance box again for the new version (2026-10-12-v3.1) and, where the change concerns a clause listed in Section 2 bis.2, the second box.
24.4 No retroactivity. No change applies to periods already paid or to disputes that have already arisen.
24.5 Prices and limits. Changes to prices and limits follow Section 12.
Section 25. Force majeure
25.1 Definition. Neither party is liable for delay or failure caused by an event beyond its reasonable control that it could not reasonably foresee or avoid: natural disaster, war, terrorism, general strike, widespread power or network failure, order of an authority, a cyberattack that reasonable measures could not have prevented, or a general failure of an infrastructure or artificial-intelligence model provider that cannot reasonably be worked around.
25.2 Effects. The affected party informs the other without delay and resumes performance as soon as possible. The obligation to pay sums already due is not suspended, unless the event makes payment impossible.
25.3 Duration. If the event lasts more than 30 days, either party may cancel without compensation. The Publisher then refunds the unused part of the paid Period, pro rata.
Section 26. Assignment
26.1 By the User. The User may not assign or transfer the contract, its Account or its rights to a third party without the Publisher's written consent.
26.2 By the Publisher. The User consents in advance to the Publisher assigning or transferring all or part of the contract to a group company or to a successor in a merger, sale of the business or reorganisation, provided the User is informed and the assignee takes over the Publisher's obligations, in particular on data. If the assignee does not offer an equivalent level of protection, the User may cancel at no charge within 30 days of notice.
26.3 Subcontracting. The Publisher may have part of the Service performed by subcontractors, for whom it remains responsible to the User within the limits of Section 16.
Section 27. General provisions
27.1 Entire agreement. These Terms, the Pricing page, the Availability by country page, the Privacy Policy and, for the User concerned, the Country Annex make up the entire contract. They replace any earlier agreement or document on the same subject. In case of conflict: the Country Annex prevails over these Terms for the User concerned; the Pricing page prevails for prices, plans, Top-Ups, Options and Usage Limits; the Availability by country page prevails for the functions available in each country; the Privacy Policy prevails for the Publisher's processing as controller.
27.2 Severability. If a provision is void or unenforceable, the rest of the contract continues. The provision is replaced by the valid provision closest to the parties' intention.
27.3 No waiver. Failure or delay in exercising a right is not a waiver.
27.4 Evidence. The Publisher's electronic records (acceptance, logs, billing information transmitted by Paddle) are evidence in the absence of proof to the contrary.
27.5 Notices. The Publisher gives notice to the User by email at the Account address and in the app. The User gives notice to the Publisher at contact@myedwin.com. Each party keeps its contact details up to date.
27.6 Third parties. The contract gives no rights to third parties, except where mandatory law provides otherwise, and the parties exclude the application of the UK Contracts (Rights of Third Parties) Act 1999.
27.7 Relationship. The parties are independent. The contract creates no partnership, agency or employment.
27.8 Headings. Headings are for convenience and do not affect interpretation.
Section 28. Language and prevailing version
28.1 Languages. These Terms, and the documents attached to them, are published in the language of each country served.
28.2 Prevailing version. The version written in the language of the User's country (the country of the Site version from which the User signs up or which it consults) prevails over any other version, which is provided for information only. For the United States, the United Kingdom and Canada outside Québec, the English version prevails. In Québec, the French version prevails and is given to the User first, before any other version.
28.3 User in a European country who reads the English version. A User established in a European country who reads or accepts the English version may rely on the version in the language of its country, which prevails over the English version in case of discrepancy.
28.4 Language chosen in the selector. If the User has chosen another language in the language selector of the Site, the version it accepted at sign-up is the one recorded as accepted (Section 2.2), without prejudice to Sections 28.2 and 28.3 and to the mandatory law of its country.
Section 29. Governing law
29.1 Wyoming law. These Terms and any matter connected with them, including non-contractual matters, are governed by the laws of the State of Wyoming, United States, excluding its conflict-of-laws rules.
29.2 Mandatory local rules. This choice does not deprive the User of the protection of the mandatory rules of its country of establishment from which the contract cannot derogate, including overriding mandatory provisions, and does not exclude them. The Country Annex takes them into account.
Section 30. Dispute resolution and jurisdiction
30.1 Prior discussion. Before starting legal proceedings, the party that considers itself wronged sends the other a written notice describing the dispute. The parties try in good faith to settle it for 30 days. This does not prevent urgent or protective measures.
30.2 Wyoming courts. Failing settlement, the courts of the State of Wyoming (the state courts of Sheridan County and the United States District Court for the District of Wyoming) have exclusive jurisdiction, subject to Sections 30.3 and 30.4.
30.3 Mandatory jurisdiction rules. This designation does not deprive the parties of mandatory rules on jurisdiction that would apply in the User's country of establishment. To the extent such a rule allows the User to bring proceedings in the courts of its country of establishment, it may do so.
30.4 Measures and enforcement. The Publisher may apply to the courts of the User's place of establishment for urgent or protective measures, or to have a decision recognised and enforced.
Section 31. Publisher's identification and contact
Publisher: Holding AMR LLC, a limited liability company (LLC) of the State of Wyoming, USA, trading as My Edwin. Registered address: 30 N Gould St, STE R, Sheridan, WY 82801, USA. Wyoming Filing ID: information being updated Published address, if different: information being updated Telephone: information being updated Publication director: information being updated Site host: Hostinger International Ltd, Cyprus (see the legal notice). Single point of contact: contact@myedwin.com Representative in the European Union: information being updated Representative in the United Kingdom: information being updated
The full legal notice is on the "Legal notice" page of the Site.
Section 32. Version and date
These Terms carry the version identifier 2026-10-12-v3.1. They are dated 12 October 2026 and take effect on the date stated at the top. Each published version is kept with its effective date.
Part 1. Terms of Sale and Use: United Kingdom Annex
UK.1 Scope. This Annex applies to a User established in the United Kingdom. For that User it prevails over the Terms in case of conflict (Section 27.1). The English version of the Terms prevails for that User (Section 28.2). In the Terms, references to the GDPR are, for a UK User, references to the UK GDPR and the Data Protection Act 2018.
UK.2 Business customers only. The Service is supplied to businesses only. The parties agree that the User deals as a business and not as a consumer. A sole trader or a partnership acting for its trade, business, craft or profession is a Professional. The Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the consumer subscription-contract rules of the Digital Markets, Competition and Consumers Act 2024 do not apply to this contract. If the User uses the Service for a purpose outside its business, it tells the Publisher at once and Section 3.4 applies.
UK.3 Electronic contracting. The parties, who are not consumers, agree that regulations 9 and 11 of the Electronic Commerce (EC Directive) Regulations 2002 do not apply. The Publisher nonetheless provides the sign-up steps in English, a means to correct input errors before the order is confirmed, an acknowledgement by email and access to the accepted Terms in the Account. Ticking the acceptance box and confirming the order is an electronic signature and the parties intend it to have the same effect as a handwritten signature.
UK.4 Reasonable care. The Publisher supplies the Service with reasonable care and skill. This is not a warranty that any output of the artificial intelligence is accurate, complete or fit for a particular use (Sections 16.3 and 16.4). To the extent that Section 16.4 excludes a term that English law would otherwise imply, it does so only so far as that exclusion satisfies the requirement of reasonableness.
UK.5 Liability.
(a) Section 16.7 is replaced by: "Nothing in these Terms excludes or limits the Publisher's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for wilful misconduct or gross negligence, or for any other liability that cannot lawfully be excluded or limited. The rights to compensation that individuals have under data protection law are not affected."
(b) Sections 16.2 to 16.6 are subject to the Unfair Contract Terms Act 1977 where it applies. The parties agree that, in the circumstances known to them when the contract is made, the limits in Section 16 are fair and reasonable, in particular because: the Subscription price is low in relation to the possible consequences of a mistake in the User's business; the User controls what is sent and approved and can review what Edwin prepares; the User is a business which can insure against the risks concerned; the User has had the opportunity to read these Terms and to take advice before accepting them; and the User has expressly approved these limits by ticking the second box (Section 2 bis).
UK.6 Fair exercise of rights. The Publisher exercises its rights under Sections 12 (price revision), 22 (suspension and termination) and 24 (changes to the Terms) honestly, in good faith, for the reasons those Sections state and not arbitrarily or capriciously.
UK.7 Governing law and courts. Section 29.1 applies. The choice of Wyoming law is made because the Publisher is a Wyoming company. It is not made to avoid the Unfair Contract Terms Act 1977 or any other mandatory rule of the United Kingdom, which continues to apply to the extent the law requires despite that choice. Section 30 applies, subject to any mandatory rule of the United Kingdom on jurisdiction.
UK.8 Data protection for UK Users. For a UK User, Section 18.3 is the written contract required by Article 28 of the UK GDPR. A transfer of Customer Data from the User to the Publisher is made under the standard contractual clauses (Module Two, controller to processor) together with the International Data Transfer Addendum issued by the Information Commissioner (version B1.0), which the parties incorporate by reference. For the Addendum: Table 1 (parties) is completed by the Account details and Section 31; Table 2 selects Module Two; Table 3 (Appendix Information) is the description of the processing in Section 18.3 and the list of sub-processors in the Privacy Policy information being updated; in Table 4, neither party may end the Addendum when the Approved Addendum changes. If the Information Commissioner issues a replacement mechanism, the parties apply it from the date the law requires.
UK.9 Calls and appointments. At the start of each call Edwin tells the caller that they are speaking to an artificial intelligence and that the call is transcribed (Section 6.3). The User does not disable this notice. The User remains responsible, as the business whose number is answered, for giving callers the information that UK data protection law requires, for any sector rule that applies to its profession (for example rules on recording by regulated firms), and for the notice and agreement of the participants before it starts an appointment listening (Section 8.4). The Service does not authorise any recording or interception that UK law forbids.
UK.10 Marketing. In the United Kingdom the User complies with the Privacy and Electronic Communications (EC Directive) Regulations 2003 and the UK GDPR when it sends any marketing through or with the help of Edwin, including the rules on consent, on the identity of the sender and on telephone preference registers. Edwin is not to be used to send marketing messages (Section 7.7).
UK.11 Currency and VAT. For a UK User, prices are shown on the Pricing page in pounds sterling, exclusive of VAT. Paddle charges UK VAT where it is due. A VAT-registered User gives its VAT number to Paddle at checkout so that Paddle can apply the correct treatment.
UK.12 Sanctions. The representations in Section 3.6 also cover the sanctions lists of the United Kingdom (including the consolidated list kept under the Sanctions and Anti-Money Laundering Act 2018).
UK.13 Special category data. In the United Kingdom, Section 7.9 applies to special category data within the meaning of Article 9 of the UK GDPR and to criminal offence data within the meaning of the Data Protection Act 2018.
UK.14 UK representative. The Publisher's representative in the United Kingdom under Article 27 of the UK GDPR is: information being updated.
UK.15 Specific approval. For a UK User, the clauses listed in Section 2 bis.2 include Sections 16.4, 16.6, 16.7 and 16.8 as adapted by Section UK.5, and Sections 29 and 30 as adapted by Section UK.7. By ticking the second box the User confirms that its attention was drawn to those clauses, that it has read them and that it has had the opportunity to take advice before accepting them. This does not limit the Unfair Contract Terms Act 1977 or any other rule that applies despite the acceptance.
